USERS:

Denquity Private Limited also referred to as DPL in the document, on behalf of itself and its affiliates/group companies under the brand "Denquity" is the author and publisher of the internet resource www.denquity.com.  Denquity owns and operates the services provided through the Website.

CONDITIONS OF USE:


You must be 18 years of age or older to register, use the Services, or visit or use the Website in any manner. By registering, visiting and using the Website or accepting this Agreement, you represent and warrant to Denquity that you are 18 years of age or older, and that you have the right, authority and capacity to use the Website and the Services available through the Website, and agree to and abide by this Agreement.

Terms of Use

By accessing our websites and using our services, you agree to this Privacy Policy and to be bound by our Terms of Use.

I agree and give permission for Denquity to contact me over call, SMS and email if required. I do not have any objection in receiving emails, messages and calls. Denquity can override my preferences set through Do Not Disturb (DND Register)/ National Customer Preference Register (NCPR)

            Once collected, we may use your personal information for following purpose:

            Register you for programs and services you have requested

            Process, fulfil and follow up on your appointments or membership application

            Answer your emails or on-line requests

            Send information you request

            Ensure that Denquity sites are relevant to your needs

            Deliver Denquity services such as newsletters, meetings or events

            Recommend content that suits you

Accepting or declining a request of service is subjected to availability of doctors and/or feasibility of commute to the destination area

A booking for a visit can be changed or cancelled only upto 2hours before the scheduled time. Any cancellation made within 120 mins of the scheduled visit time is subjected to charging of a cancellation fee as determined by the management

Right to decline a visit or cancel a visit upon arrival at the destination is at the complete discretion of the visiting doctor on the basis of any presence of hostile environment and/lack of availability of minimum space that is required to set up the unit.

The doctor and/or the visiting assistant have the right to refuse treatment on the basis of the condition of the patient in terms of use of intoxication of any sort (cigarettes, joints, alcohol, drugs, pan, gutka, etc)

We are not responsible for the theft or missing of any household items and the customers are requested to be aware of the things at home and it's safety

We take utmost care and give a lot of importance to provide quality treatment with the highest degree of industry standards for sterilization and efficiency. To aid with this we need a predetermined amount of space to setup the unit which needs to be facilitated by the customer at the premises.

For Membership on the platform

I agree to the following terms and conditions of Denquity (Denquity Private Limited).

The primary member will be responsible for any expense that is outstanding in the name of the secondary member or an infant or a child of any age.

The personal information provided by you will be used only for future communication between us. We assure you that this information will be treated as strictly confidential and will not be disclosed to any third party. All services are chargeable and available to registered members at preferential rates. Registration or visitation charges paid is not refundable or adjustable or transferable.

Denquity may, at its own discretion, provide services to non-members at standard charges for these services.

            Specialised services like orthodontic treatment, Crown preparation, Extraction, Implant placement, Dentures and denture repairs, abscess draining, Bleaching, any form of Pediatric treatment, equipment handling and healthcare Packages are available on request with associated service rules, tariffs, terms and conditions.

            While Denquity will strive to provide timely services in all locations and at all times, all services are subject to availability of staff, consultants, vehicles and equipment.

            Laboratory investigations will be done only at Denquity Partnered labs. Reports will be sent through registered Email and hard copy will be couriered as and when available from the partnered lab. In case of emergency, hard copy will be delivered as soon as reported by the partnered lab at an additional cost.

            Payments for all the lab reports to be made on presentation of bills through cash/cheque/credit cards. Please insist on receipts for all payments made. Denquity will appreciate your feedback if you don�t receive a receipt.

            The service rates as per the price list are applicable only when service requests are made at least a day in advance.

            Service requests made with less than a day notice will be treated as �Emergency� and would be charged extra. Minimum response time for �Emergency� calls would be three hours. When making �Emergency� service requests, it is essential to state all necessary information as asked by the front office executives.

            For all services, consumables (if any) will be charged extra.

            Denquity makes all efforts to deliver services at the mutually scheduled time. We request your availability and support at the scheduled time to complete services in a timely manner and avoid any delays to the next customer.

            Denquity staff and doctors should be treated with courtesy and should not be called directly. All calls and requests for services are to be made to your designated Denquity experience centre, website, app or a call on the advertised number of the company.

            Denquity staff are qualified for a range of services which will be rendered against appropriate doctor�s prescription or advice.

            Denquity staff are assigned for specific services and will not perform activities beyond their assigned duties. Gifts and tips to the staff should be avoided.

            Some dental conditions and/or procedures (like RTA, fractures, TMJ dislocation, lock jaw, OSMF etc) may not be advisable in a home setting. In such situations, Denquity will advise you to contact your nearest clinical or hospital establishment.

            Denquity cannot be held responsible for occurrences due to causes beyond their control.

            Denquity�s maximum liability under or in connection with the services under and theory of liability or cause of actions shall not exceed 50% of the fees received by Denquity for the relevant services.

            All claims, disputes and other matters arising in relation to the services are subject to the exclusive jurisdiction of the courts in Bangalore, India.

            In the event any provision of the terms is found to be illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that all other provisions and all other parts of the affected provision remain in full force and effect and enforceable.

            This document may be produced in any judicial, arbitral, or other proceedings as evidence of any statement of fact or any matter referred to herein or as evidence of record of any fact to which this document pertains.

            Denquity shall be entitled to withdraw all or any services promptly if the patient/client failed to comply with any of the above terms.

 

TERMS OF USE APPLICABLE TO ALL USERS OTHER THAN PRACTITIONERS:

END-USER ACCOUNT AND DATA PRIVACY The terms �personal information� and �sensitive personal data or information� are defined under the SPI Rules, and are reproduced in the Privacy Policy.

Denquity may by its Services, collect information relating to the devices through which you access the Website, and anonymous data of your usage. The collected information will be used only for improving the quality of Denquity�s services and to build new services. The Website allows Denquity to have access to registered Users� personal email or phone number, for communication purpose so as to provide you a better way of booking appointments and for obtaining feedback in relation to the Practitioners and their practice.

 The Privacy Policy sets out, inter-alia:

-          The type of information collected from Users, including sensitive personal data or information;

-          The purpose, means and modes of usage of such information;

-          How and to whom Denquity will disclose such information; and,

Other information mandated by the SPI Rules.

The User is expected to read and understand the Privacy Policy, so as to ensure that he or she has the knowledge of, inter-alia:

-          the fact that certain information is being collected;

-          the purpose for which the information is being collected;

-          the intended recipients of the information;

-          the nature of collection and retention of the information; and

-          the name and address of the agency that is collecting the information and the agency that will retain the information; and

-          the various rights available to such Users in respect of such information.

Denquity shall not be responsible in any manner for the authenticity of the personal information or sensitive personal data or information supplied by the User to Denquity or to any other person acting on behalf of Denquity. The User is responsible for maintaining the confidentiality of the User�s account access information and password, if the User is registered on the Website. The User shall be responsible for all usage of the User�s account and password, whether or not authorized by the User. The User shall immediately notify Denquity of any actual or suspected unauthorized use of the User�s account or password. Although Denquity will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Denquity or such other parties as the case may be, due to any unauthorized use of your account.

- If a User provides any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or Denquity has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Denquity has the right to discontinue the Services to the User at its sole discretion. Denquity may use such information collected from the Users from time to time for the purposes of debugging customer support related issues. Against every Practitioner listed in Denquity.com, you may see a �show number� option. When you choose this option, you choose to call the number through a free telephony service provided by Denquity, and the records of such calls are recorded and stored in Denquity�s servers. Such call will have an IVR message stating the purpose of recording your calls and your consent to such recordings which are dealt with as per the Privacy Policy.

- Such records may be accessed by Denquity for quality control and support related purposes and are dealt with only in accordance with the terms of the Privacy Policy. Such call facility provided to you by Denquity should be used only for appointment and booking purposes, and not for consultation on health-related issues. Denquity accepts no liability if the call facility is not used in accordance with the foregoing. Denquity may also choose to not use this facility and show the practitioner's direct number. In case you choose to not provide your consent to recording your calls that may have personal information required for appointment and booking purposes, Denquity reserves the right to not provide the Services for which such personal information is sought.

LISTING CONTENT AND DISSEMINATING INFORMATION :

 - Denquity collects, directly or indirectly, and displays on the Website, relevant information regarding the profile and practice of the Practitioners listed on the Website, such as their specialization, qualification, fees, location, visiting hours, and similar details. Denquity takes reasonable efforts to ensure that such information is updated at frequent intervals. Although Denquity screens and vets the information and photos submitted by the Practitioners, it cannot be held liable for any inaccuracies or incompleteness represented from it, despite such reasonable efforts.

The Services provided by Denquity or any of its licensors or service providers are provided on an "as is" and �as available� basis, and without any warranties or conditions (express or implied, including the implied warranties of merchantability, accuracy, fitness for a particular purpose, title and non-infringement, arising by statute or otherwise in law or from a course of dealing or usage or trade). Denquity does not provide or make any representation, warranty or guarantee, express or implied about the Website or the Services.

Denquity does not guarantee the accuracy or completeness of any content or information provided by Users on the Website. To the fullest extent permitted by law, Denquity disclaims all liability arising out of the User�s use or reliance upon the Website, the Services, representations and warranties made by other Users, the content or information provided by the Users on the Website, or any opinion or suggestion given or expressed by Denquity or any User in relation to any User or services provided by such User.The Website may be linked to the website of third parties, affiliates and business partners. Denquity has no control over, and not liable or responsible for content, accuracy, validity, reliability, quality of such websites or made available by/through our Website. Inclusion of any link on the Website does not imply that Denquity endorses the linked site.

User may use the links and these services at User�s own risk. Denquity assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect User�s equipment on account of User�s access to, use of, or browsing the Website or the downloading of any material, data, text, images, video content, or audio content from the Website. If a User is dissatisfied with the Website, User�s sole remedy is to discontinue using the Website. If Denquity determines that you have provided fraudulent, inaccurate, or incomplete information, including through feedback, Denquity reserves the right to immediately suspend your access to the Website or any of your accounts with Denquity and makes such declaration on the website alongside your name/your clinic�s name as determined by Denquity for the protection of its business and in the interests of Users. You shall be liable to indemnify Denquity for any losses incurred as a result of your misrepresentations or fraudulent feedback that has adversely affected Denquity or its Users.

Please note that some of the content, text, data, graphics, images, information, suggestions, guidance, and other material (collectively, �Information�) that may be available on the Website (including information provided in direct response to your questions or postings) may be provided by individuals in the medical profession. The provision of such Information does not create a licensed dental professional/patient relationship, between Denquity and you and does not constitute an opinion, dental advice, or diagnosis or treatment of any particular condition, but is only provided to assist you with locating appropriate medical care from a qualified practitioner. It is hereby expressly clarified that, the Information that you obtain or receive from Denquity, and its employees, contractors, partners, sponsors, advertisers, licensors or otherwise on the Website is for informational purposes only. We make no guarantees, representations or warranties, whether expressed or implied, with respect to professional qualifications, quality of work, expertise or other information provided on the Website. In no event shall we be liable to you or anyone else for any decision made or action taken by you in reliance on such information.

The Services are not intended to be a substitute for getting in touch with emergency healthcare. If you are an End-User facing a medical emergency (either on your or another person�s behalf), please contact an ambulance service or hospital directly.

 

CONTENT OWNERSHIP AND COPYRIGHT CONDITIONS OF ACCESS:

The contents listed on the Website are

(i)                 User generated content, or

(ii)               belong to Denquity. The information that is collected by Denquity directly or indirectly from the End- Users and the Practitioners shall belong to Denquity. Copying of the copyrighted content published by Denquity on the Website for any commercial purpose or for the purpose of earning profit will be a violation of copyright and Denquity reserves its rights under applicable law accordingly.

Denquity authorizes the User to view and access the content available on or from the Website solely for ordering, receiving, delivering and communicating only as per this Agreement. The contents of the Website, information, text, graphics, images, logos, button icons, software code, design, and the collection, arrangement and assembly of content on the Website (collectively, "Denquity Content"), are the property of Denquity and are protected under copyright, trademark and other laws. User shall not modify the Denquity Content or reproduce, display, publicly perform, distribute, or otherwise use the Denquity Content in any way for any public or commercial purpose or for personal gain. User shall not access the Services for purposes of monitoring their availability, performance or functionality, or for any other benchmarking or competitive purposes.

REVIEWS AND FEEDBACK


By using this Website, you agree that any information shared by you with Denquity or with any Practitioner will be subject to our Privacy Policy.
You are solely responsible for the content that you choose to submit for publication on the Website, including any feedback, ratings, or reviews (�Critical Content�) relating to Practitioners or other healthcare professionals. The role of Denquity in publishing Critical Content is restricted to that of an �intermediary� under the Information Technology Act, 2000. Denquity disclaims all responsibility with respect to the content of Critical Content, and its role with respect to such content is restricted to its obligations as an �intermediary� under the said Act. Denquity shall not be liable to pay any consideration to any User for re-publishing any content across any of its platforms. Your publication of reviews and feedback on the Website is governed by Denquity. Without prejudice to the detailed terms stated, you hereby agree not to post or publish any content on the Website that (a) infringes any third-party intellectual property or publicity or privacy rights, or (b) violates any applicable law or regulation, including but not limited to the IG Rules and SPI Rules. Denquity, at its sole discretion, may choose not to publish your reviews and feedback, if so required by applicable law. You agree that Denquity may contact you through telephone, email, SMS, or any other electronic means of communication for the purpose of:

-          Obtaining feedback in relation to Website or Denquity�s services; and/or

-          Obtaining feedback in relation to any Practitioners listed on the Website; and/or

-          Resolving any complaints, information, or queries by Practitioners regarding your Critical Content;

-          and you agree to provide your fullest co-operation further to such communication by Denquity.

Denquity�s Feedback Collection and Fraud Detection Policy, is annexed as the Schedule hereto, and remains subject always to these Terms.



RECORDS:


Denquity may provide End-Users with a free facility on its mobile application Denquity. Information available in your Records is of two types:

User-created: Information uploaded by you or information generated during your interaction with denquity ecosystem, ex: appointment your diagnosis.

Practice-created: Records generated by your interaction with a Doctors who uses denquity.

The specific terms relating to such Patient Personal records are as below, without prejudice to the rest of these Terms and the Privacy Policy:

Your Records is only created after you have signed up and explicitly accepted these Terms.

Any Practice created Record is provided on an as-is basis at the sole intent, risk and responsibility of the Practitioner and Denquity does not validate the said information and makes no representation in connection therewith. You should contact the relevant Practitioner in case you wish to point out any discrepancies or add, delete, or modify the Record in any manner.

 The Records are provided on an as-is basis. While we strive to maintain the highest levels of service availability, Denquity is not liable for any interruption that may be caused to your access of the Services.

The reminder provided by the Records is only a supplementary way of reminding you to perform your activities as prescribed by your Practitioner. In the event of any medicine reminders provided by Denquity, you should refer to your prescription before taking any medicines. Denquity is not liable if for any reason reminders are not delivered to you or are delivered late or delivered incorrectly, despite its best efforts. In case you do not wish to receive the reminders, you can switch it off through the Denquity app.

Denquity uses industry�level security and encryption to your Records. However, Denquity does not guarantee to prevent unauthorized access if you lose your login credentials or they are otherwise compromised. In the event you are aware of any unauthorized use or access, you shall immediately inform Denquity of such unauthorized use or access. Please safeguard your login credentials and report any actual suspected breach of account to info@denquity.com.

If you access Records under the "Family" section by registering your dependents with your own Records, you are deemed to be responsible for the Records of your dependents and all obligations that your dependents would have had, had they maintained their own separate individual Records. You agree that it shall be your sole responsibility to obtain prior consent of your dependent and shall have right to share, upload and publish any sensitive personal information of your dependent. denquity assumes no responsibility for any claim, dispute or liability arising in this regard, and you shall indemnify Denquity and its officers against any such claim or liability arising out of unauthorized use of such information.

In case you want to delete your Records, you can do so by contacting our service support team. However only your account and any associated Health Records will be deleted, and your Health Records stored by your Practitioners will continue to be stored in their respective accounts.

You may lose your �User created� record, if the data is not synced with the server.

If the Record is unassessed for a stipulated time, you may not be able to access your Health Records due to security reasons.

Denquity is not liable if for any reason, Records are not delivered to you or are delivered late despite its best efforts.

The Records are shared with the phone numbers that are provided by your Practitioner. Denquity is not responsible for adding the Records with incorrect numbers if those incorrect numbers are provided by the Practitioner.

Denquity is not responsible or liable for any content, fact, Health Records, medical deduction or the language used in your Health Records whatsoever. Your Practitioner is solely responsible and liable for your Records and any information provided to us including but not limited to the content in them.

Denquity has the ability in its sole discretion to retract Records without any prior notice if they are found to be shared incorrectly or inadvertently.

Denquity will follow the law of land in case of any constitutional court or jurisdiction mandates to share the Records for any reason.

You agree and acknowledge that Denquity may need to access the Record for cases such as any technical or operational issue of the End User in access or ownership of the Records.

You acknowledge that the Practitioners you are visiting may engage Denquity's software or third-party software for the purposes of the functioning of the Doctor�s business and Denquity's services including but not limited to the usage and for storage of Records in India and outside India, in accordance with the applicable laws.

To the extent that your Records have been shared with Denquity or stored on any of the Denquity products used by Practitioner�s you are visiting, and may in the past have visited, You hereby agree to the storage of your Records by Denquity pertaining to such previously visited clinics and hospitals who have tie ups with Denquity for the purposes of their business and for Denquity's services including but not limited to the usage and for storage of Records in India and outside India, in accordance with the applicable laws and further agree, upon creation of your account with Denquity, to the mapping of such Records as may be available in Denquity�s database to your User account.

 

The Users/Patient agree to use the advice from Practitioner on the Website pursuant to:

- an ongoing treatment with their medical practitioner;

- a condition which does not require emergency treatment, physical examination or medical attention;

- medical history available as records with them for reference;

- a record of physical examination and report thereof with them, generated through their local medical practitioner;

- consultation with their medical practitioner before abandoning or modifying their ongoing treatment.

The User agrees that by using Consultation, the Practitioners on the platform will not be conducting physical examination of the Users, hence, they may not have or be able to derive important information that is usually obtained through a physical examination. User acknowledges and agrees that the User is aware of this limitation and agrees to assume the complete risk of this limitation.

The User understands that online Consultation shall not form a substitute for treatment that otherwise needs physical examination/immediate consultation. Further, the User understands that the advice provided by the Practitioner is based on general medical conditions and practices prevalent in India, to the best of his knowledge and ability, and not for conditions which are territory specific for regions other than India, irrespective of where the User is procuring medical services or engaging in communication with the Practitioner.

During the consultation and thereafter, the Practitioner may upload the prescription/health records of the User on the account of the User on the Website for access of the User. However, it is expressly clarified that for Users not located within India and using Consultation, the Practitioner may or may not issue a prescription, at his sole discretion.

Not withstanding anything contained herein, DPL is not in any manner responsible for any drug/medicines prescribed or the therapy prescribed by the Practitioner.

If Practitioner responds to the User�s query, the system could trigger communications to the User, in the form of notification/text/email/others. The User further understands that DPL may send such communications like text messages/email/calls before and/or after Practitioner�s consultation (physical or online) to User�s mobile number, based on the Practitioner�s settings (through the Website). However, and notwithstanding anything to the contrary in this Agreement, DPL does not take responsibility for timeliness of such communications.

The User hereby agrees to DPL's medical team carrying out an audit of his/her consultations on the platform for the purpose of improving treatment quality, user experience, and other related processes. The User acknowledges that the subject matter of audit may include texts, messages, photographs, reports, audio or video recordings or any other material exchanged between the User and the Practitioner which could inter alia include User's personal information, including sensitive personal information. This personal information will be processed in accordance with Privacy Policy.

User shall refrain from raising any personal queries or advice during the use of Consultation services on platform which are not related to a specific disease / medicine.

Users shall not use abusive language on the during the use of Consultation services on platform. In the event of an abuse from the User is reported by a Practitioner, DPL reserves the right to block such Users from the Denquity platform and DPL is not responsible for honoring any refund request towards his/her consultation on the Denquity platform.

Users may share images or videos of the affected areas of their body parts with the Practitioner only if it is absolutely necessary for diagnosing his/her condition and if he/she is personally comfortable in sharing such images or videos. DPL shall not be responsible for any such images or videos shared by the Users with the Practitioners.

Users shall ensure that any interaction/communication with the Practitioners, including sharing images or videos of the body parts, shall be only through the use of Consultation services on platform. The Users shall not rely on any other external modes of communication for interacting/communicating with the Practitioners.

Users shall be prepared to share all relevant documents or reports to the Practitioner promptly upon request.

For every paid consultation appointment on the Denquity platform, the Users shall not obtain consultation for more than one User. In the event, the Users attempt to obtain consultation for more than one User through a single paid consultation on the Denquity platform, such consultations will not be addressed by the relevant Practitioner.

Users shall not persuade Practitioners to prescribe drugs (including higher dose strength). The restricted drugs are as follows:

- Drugs under the following pharmaceutical classifications such as; sedatives, hypnotics, opioids, schedule X drugs, or fourth generation antibiotics.

- If restricted drugs are indicated for treatment or management of a disease or condition by a Practitioner, the User shall physically visit the Practitioner of their choice to confirm the requirements/necessity for prescribing such restricted drugs.

- User understands and agrees to provide accurate information and will not use the Denquity platform for any acts that are considered to be illegal in nature.

If User decides to engage with a Practitioner to procure medical services or engages in communication, exchange of money for services outside of the platform, User shall do so at their own risk. DPL shall not be responsible for any breach of Service or Service deficiency by any Practitioner.

The User agrees and understands that the transaction with the Practitioner are subject to jurisdiction of Indian laws and that any claim, dispute or difference arising from it shall be subject to the jurisdiction provision as contained in the Terms and Conditions hereunder, at all times. The User further agrees and understands that the Practitioner is a medical practitioner who is licensed to practice medicine in India and the onus is on the User to determine if he/she is eligible to consult with the Practitioners via the Website. It is expressly clarified that at no point in time can it be construed that the Practitioner is practicing medicine in a territory other than India, irrespective of where the User is located and procures medical services or engages in communication with the Practitioner, in any manner whatsoever.

The User shall indemnify and hold harmless DPL and its affiliates, subsidiaries, directors, officers, employees and agents from and against any and all claims, proceedings, penalties, damages, loss, liability, actions, costs and expenses (including but not limited to court fees and attorney fees) arising due to or in relation to the use of Website by the User, by breach of the Terms or violation of any law, rules or regulations by the User, or due to such other actions, omissions or commissions of the User that gave rise to the claim.

The User shall make payment using the payment gateway to make payments online, solely at User's discretion. Should there be any issues with regard to the payment not reaching the DPL account, the User may contact DPL's support team via online chat

The Services provided by Denquity or any of its licensors or service providers are provided on an "as is" and �as available� basis, and without any warranties or conditions (express or implied, including the implied warranties of merchantability, accuracy, fitness for a particular purpose, title and non-infringement, arising by statute or otherwise in law or from a course of dealing or usage or trade). Denquity does not provide or make any representation, warranty or guarantee, express or implied about the Website or the Services. Denquity does not guarantee the accuracy or completeness of any content or information provided by Users on the Website. To the fullest extent permitted by law, Denquity disclaims all liability arising out of the User�s use or reliance upon the Website, the Services, representations and warranties made by other Users, the content or information provided by the Users on the Website, or any opinion or suggestion given or expressed by Denquity or any User in relation to any User or services provided by such User.

The Website may be linked to the website of third parties, affiliates and business partners. Denquity has no control over, and not liable or responsible for content, accuracy, validity, reliability, quality of such websites or made available by/through our Website. Inclusion of any link on the Website does not imply that Denquity endorses the linked site. User may use the links and these services at User�s own risk.

Denquity assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect User�s equipment on account of User�s access to, use of, or browsing the Website or the downloading of any material, data, text, images, video content, or audio content from the Website. If Denquity determines that you have provided fraudulent, inaccurate, or incomplete information, including through feedback, Denquity reserves the right to immediately suspend your access to the Website or any of your accounts with Denquity and makes such declaration on the website alongside your name/your clinic�s name as determined by Denquity for the protection of its business and in the interests of Users. You shall be liable to indemnify Denquity for any losses incurred as a result of your misrepresentations or fraudulent feedback that has adversely affected Denquity or its Users.

NO DOCTOR-PATIENT RELATIONSHIP; NOT FOR EMERGENCY USE:

Please note that some of the content, text, data, graphics, images, information, suggestions, guidance, and other material (collectively, �Information�) that may be available on the Website (including information provided in direct response to your questions or postings) may be provided by individuals in the medical profession. The provision of such Information does not create a licensed dental professional/patient relationship, between Denquity and you and does not constitute an opinion, dental advice, or diagnosis or treatment of any particular condition, but is only provided to assist you with locating appropriate medical care from a qualified practitioner.

It is hereby expressly clarified that, the Information that you obtain or receive from Denquity, and its employees, contractors, partners, sponsors, advertisers, licensors or otherwise on the Website is for informational purposes only. We make no guarantees, representations or warranties, whether expressed or implied, with respect to professional qualifications, quality of work, expertise or other information provided on the Website. In no event shall we be liable to you or anyone else for any decision made or action taken by you in reliance on such information.

The Services are not intended to be a substitute for getting in touch with emergency healthcare. If you are an End-User facing a medical emergency (either on your or another person�s behalf), please contact an ambulance service or hospital directly.

CONTENT OWNERSHIP AND COPYRIGHT CONDITIONS OF ACCESS:

The contents listed on the Website are (i) User generated content, or (ii) belong to Denquity. The information that is collected by Denquity directly or indirectly from the End- Users and the Practitioners shall belong to Denquity. Copying of the copyrighted content published by Denquity on the Website for any commercial purpose or for the purpose of earning profit will be a violation of copyright and Denquity reserves its rights under applicable law accordingly.

Denquity authorizes the User to view and access the content available on or from the Website solely for ordering, receiving, delivering and communicating only as per this Agreement. The contents of the Website, information, text, graphics, images, logos, button icons, software code, design, and the collection, arrangement and assembly of content on the Website (collectively, "Denquity Content"), are the property of Denquity and are protected under copyright, trademark and other laws. User shall not modify the Denquity Content or reproduce, display, publicly perform, distribute, or otherwise use the Denquity Content in any way for any public or commercial purpose or for personal gain.

User shall not access the Services for purposes of monitoring their availability, performance or functionality, or for any other benchmarking or competitive purposes.

REVIEWS AND FEEDBACK
By using this Website, you agree that any information shared by you with Denquity or with any Practitioner will be subject to our Privacy Policy.
You are solely responsible for the content that you choose to submit for publication on the Website, including any feedback, ratings, or reviews (�Critical Content�) relating to Practitioners or other healthcare professionals. The role of Denquity in publishing Critical Content is restricted to that of an �intermediary� under the Information Technology Act, 2000. Denquity disclaims all responsibility with respect to the content of Critical Content, and its role with respect to such content is restricted to its obligations as an �intermediary� under the said Act. Denquity shall not be liable to pay any consideration to any User for re-publishing any content across any of its platforms.
Your publication of reviews and feedback on the Website is governed by Denquity. Without prejudice to the detailed terms stated, you hereby agree not to post or publish any content on the Website that (a) infringes any third-party intellectual property or publicity or privacy rights, or (b) violates any applicable law or regulation, including but not limited to the IG Rules and SPI Rules. Denquity, at its sole discretion, may choose not to publish your reviews and feedback, if so required by applicable law. You agree that Denquity may contact you through telephone, email, SMS, or any other electronic means of communication for the purpose of:

Obtaining feedback in relation to Website or Denquity�s services; and/or

Obtaining feedback in relation to any Practitioners listed on the Website; and/or

Resolving any complaints, information, or queries by Practitioners regarding your Critical Content;

and you agree to provide your fullest co-operation further to such communication by Denquity. Denquity�s Feedback Collection and Fraud Detection Policy, is annexed as the Schedule hereto, and remains subject always to these Terms.


The reminder provided by the Records is only a supplementary way of reminding you to perform your activities as prescribed by your Practitioner. In the event of any medicine reminders provided by Denquity, you should refer to your prescription before taking any medicines. Denquity is not liable if for any reason reminders are not delivered to you or are delivered late or delivered incorrectly, despite its best efforts. In case you do not wish to receive the reminders, you can switch it off through the Denquity app.

Denquity uses industry�level security and encryption to your Records. However, Denquity does not guarantee to prevent unauthorized access if you lose your login credentials or they are otherwise compromised. In the event you are aware of any unauthorized use or access, you shall immediately inform Denquity of such unauthorized use or access. Please safeguard your login credentials and report any actual suspected breach of account to info@denquity.com

User understands and agrees to provide accurate information and will not use the Denquity platform for any acts that are considered to be illegal in nature.

If User decides to engage with a Practitioner to procure medical services or engages in communication, exchange of money for services outside of Consult platform, User shall do so at their own risk. DPL shall not be responsible for any breach of Service or Service deficiency by any Practitioner.

The User agrees and understands that the transaction with the Practitioner are subject to jurisdiction of Indian laws and that any claim, dispute or difference arising from it shall be subject to the jurisdiction provision as contained in the Terms and Conditions hereunder, at all times. The User further agrees and understands that the Practitioner is a medical practitioner who is licensed to practice medicine in India and the onus is on the User to determine if he/she is eligible to consult with the Practitioners via the Website. It is expressly clarified that at no point in time can it be construed that the Practitioner is practicing medicine in a territory other than India, irrespective of where the User is located and procures medical services or engages in communication with the Practitioner, in any manner whatsoever.

The User shall indemnify and hold harmless DPL and its affiliates, subsidiaries, directors, officers, employees and agents from and against any and all claims, proceedings, penalties, damages, loss, liability, actions, costs and expenses (including but not limited to court fees and attorney fees) arising due to or in relation to the use of Website by the User, by breach of the Terms or violation of any law, rules or regulations by the User, or due to such other actions, omissions or commissions of the User that gave rise to the claim.

The User shall make payment using the payment gateway to make payments online, solely at User's discretion. Should there be any issues with regard to the payment not reaching the DPL account, the User may contact DPL's support team via online chat.

 

 

Denquity Doctor Terms and Conditions:

1.      Patient data: As a doctor, Denquity offers you a platform to make and manage digital practice.

 

1.1 We at Denquity recommend that all patient data, details and findings be recorded on the Case history sheet and services available on the platform. 

Any data and details of the patients, users and doctors recorded anywhere else and outside the platform does not fall under the scrutiny, responsibility not liability with respect to Denquity private limited. Denquity is just a platform which aids in ease of management of your schedules, appointments, track your patients, have their case sheets digitally etc.

We are not responsible for any misuse, leak, errors, wrong diagnosis, terminologies so on and so forth caused due to negligence or lack of understanding from the doctor's end, clinician's end nor the collaboration end between the same.

 

1.2 Denquity is not responsible for any delay in appointments, missed appointments, wrong schedules, clubbed appointments or lack of provision of treatment at the patient's end or the doctor's end.

We serve merely as a platform and an aid to assist with your regular management of patients, appointments and schedules.

 

1.3 We at Denquity are not responsible for the privacy of the patient details, data and treatment regimens nor diagnosis. All the x-rays, in-op images, pre and post treatment images, addresses etc. uploaded on the platform will be safe and bound by user privacy policy as long as it remains on and within the platform. Anything that is shared, delegated to other entities, people or platforms. Denquity is not responsible for the same. We strongly urge you not to do the same. In case, such a scenario does occur - the sole responsibility goes with the one who is sharing the information i.e. the doctor, clinician or any other member involved.

 

1.4 Denquity is not responsible for the diagnosis, treatment protocol determined, treatments given nor the outcome, post-operative complications nor side-effects of the same.

The entire responsibility and liability lies upon the doctor/clinician who is treating and the procedure done will be upon their own discretion and judgment.

 

1.5 Denquity as a platform offers you (the doctor or the clinician) an integrated digital prescription which can be used for writing digital prescriptions for your patients authorized and signed digital by the prescribing or the treating doctor only.

Denquity is not responsible for the prescription, dose nor the drugs prescribed.

The digital signature used to validate the prescription will be the doctor's only and the same will be valid and used only for the prescriptions made on the platform.

The misuse or overuse of the same anywhere outside the platform does not fall under the responsibility nor liability of Denquity.

 

1.6 Denquity may use the prescription data and/or the patient data involved and may share the same with an authorised third party app/service chain for Integrated delivery of drugs or the prescribed medications to the patient. However, Denquity is not responsible for any delays, wrong delivery, availability nor any of such scenarios that may arise while using the third party vendor/platform.

 

1.7 We strongly recommend the doctors or the clinicians to only prescribe the drugs authorised by the Pharmaceutical, medical boards and ministries of India and available legally in India only.

All the medications prescribed will be at the responsibility and liability of the doctors and/or clinicians respectively - Denquity does not hold liability for the same.

The prescription can only be used once and cannot be used nor valid for subsequent medications unless authorised by the treating doctor.

Any overdose, misuse or overuse of the same for OTC (over-the-counter) medications is not valid and Denquity is not responsible in case such a thing does happen.

 

2.      Lab - Denquity offers unique Platform to request lab, track lab order and get information about the lab.

 

2.1 The lab section available on the Denquity platform or the website is a third-party collaboration and Denquity does not hold any responsibility for using the services of the same.

The doctor/clinic/clinician (You, your etc.) may use the service upon his or her own research and knowledge.

 

2.2 All the orders generated while using the services are created online and the data generated will be the responsibility of You alone. The order follow up, quality of work, quality of the images, acceptance/rejection of the same from the lab's end, tracking and progress of the work, delivery or any delays involved etc. are all up to and upon the lab's own discretion and Denquity has no influence, liability nor responsibility of the same. Labs are solely responsible for the availability of respective services and their requests raised by You.

 

2.3 This service is only applicable and valid to dental labs and not any other diagnostic or lab.

Any data, images shared to facilitate the same is upon Your own discretion and Denquity is not responsible for the same. Any misuse of the patient data which may accompany with such a situation lies under the responsibility of the lab and doctor/clinician.

 

2.4 All payments should be done digitally and is valid only when it is done through the Denquity platform. We strongly discourage making any payment on off-line channels or other third-party platforms unless they are authorized by Denquity.

 

3.Payment - 

 

3.1 We at Denquity strongly recommend that all payments of and for any of the services across the platform be done through the integrated payment gateway available on the platform and not anywhere else. If any payment is done using any other method or a different gateway, Denquity is not responsible for the transaction nor any other issues that may arise with the same. Doing so will disqualify the patient/user, Doctor, clinician, lab technician etc. for the perks and advantages that maybe available or provided by Denquity for its users on the platform.

 

3.2 Payment settlements for all the entities involved on the platform will be done within and around 7 working days post the delivery of the work and the successful completion of the treatment at the user/patient's end. The payment settlement system will mostly be automated and in some cases - may be done manually as well. Denquity does not hold responsibility nor any liability for any of the transactions done outside of its platform or the payment gateway.

Denquity is not responsible for any hack, leak or misuse of the payment data or the data of the personnel involved for the same.

 

3.3 Any issues or transactions involving debit/credit cards, swiping machines, POS machines etc. at the doctor's, clinician's or the lab's end is upon the sole discretion of the respective individual involved and does not fall under the purview of Denquity. In-case there is an offline transaction, The collection of the same should be done only through the authorized and assigned personnel of Denquity and nobody else. Denquity is not responsible for any issues arising in-case there is an unknown entity/element or a third party involved in the same. We strongly discourage any offline transactions.

 

3.4 Denquity is not responsible for the pricing for a particular service/treatment available on the platform especially under the "Host" category and the sole responsibility for the same lies under the discretion of the doctor, clinician, clinic or the lab personnel involved. Even for lab orders it is the discretion of the lab.

 

4. Collaborate is just a feature of the Denquity platform connecting clinics to doctors, other clinics and assistants for easier management, communication and better functioning.

 

4.1 Denquity is not liable nor responsible for any issues arising with the same nor with any misuse of the data that is being shared during the same. The sole responsibility lies with the student, labs, clinics, doctors or clinicians involved in usage of this feature of the platform. Sharing of accounts, sharing of passwords, identity, impersonation etc. should not be done for whatsoever reason. Doing so will cause a termination of the account on the Denquity platform. Denquity is not liable nor responsible for Any issues, situations rising from the same.

 

4.2 We are not responsible for any misuse, leak, errors, wrong diagnosis, terminologies so on and so forth caused due to negligence or lack of understanding from the doctor's end, clinician's end nor the collaboration end between the same.

 

4.3 We at Denquity respect the privacy of the patient and expect the same from the doctor, clinicians and lab end. We are not responsible nor liable for the privacy of the patient details, data and treatment regimens nor diagnosis. All the x-rays, in-op images, pre and post treatment images, addresses etc. uploaded on the platform will be safe and bound by user privacy policy as long as it remains on and within the platform. Anything that is shared, delegated to other entities, people or platforms. Denquity is not responsible for the same. We strongly urge you not to do the same. In case, such a scenario does occur - the sole responsibility goes with the one who is sharing the information i.e. the doctor, clinician or any other member involved.

 

4.4 Denquity is not responsible nor liable for the diagnosis, treatment protocol determined, treatments given nor the outcome, post-operative complications nor side-effects of the same.

The entire responsibility and liability lies upon the doctor/clinician who is treating and the procedure done will be upon their own discretion and judgment and also the free will of the patient.

 

4.5 The assistant feature/section of this service entirely depends on the availability, need and location. Denquity is not responsible for any misbehavior, errors or damages caused due to the ignorance of the assistant. By agreeing to use this service, clinics, doctors and clinicians are signing up for the entire responsibility of their clinics, materials and equipments involved during the utilization of the service.

 

5. Hosting on Denquity:

5.1 Host. As a Host, Denquity offers you the opportunity to share your Clinic with our vibrant community of Doctors - and earn money doing it. It�s easy to create a Listing and you are in control of how you host - set your price, availability, and rules for each Listing.

5.2 Contracting with Doctors. When you accept a booking request, or receive a booking confirmation through the Denquity Platform, you are entering into a contract directly with the Doctor who is going to use the service and you are responsible for delivering your Host Service under the terms and at the price specified in your Listing. You are also agreeing to pay applicable fees like Denquity�s service fee, convenience fee (and applicable taxes) for each booking. Denquity Payments will deduct amounts you owe from your payout unless we and you agree to a different method. Any terms, policies or conditions that you include in any supplemental contract with doctors must: (i) be consistent with these Terms, our Policies, and the information provided in your Listing, and (ii) be prominently disclosed in your Listing description.

5.3 Independence of Hosts. Your relationship with Denquity is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of Denquity, except that Denquity Payments acts as a payment collection agent as described in the Payments Terms. Denquity does not direct or control your Host Service, and you agree that you have complete discretion whether and when to provide Host Services, and at what price and on what terms to offer them.

5.4 Denquity is just a platform for connecting the doctors who rent the clinics as per requirement and the hosts who list their clinics at their own convenience. Denquity is in no way responsible for any loss, misuse, damage or theft of any existing inventory of materials, dental equipments and instruments of the host clinic or the hosts. Denquity is not responsible nor liable for any mishaps pre-treatment, during and post treatment of procedures. Denquity is not responsible nor liable for the treatment outcomes, complications - during and post-operative procedures, behavior of the doctors and the patients, Utility bills etc. If there arises a situation where in any of the above-mentioned criteria and associated situations, Denquity is not responsible for the outcome or the settlement for the same. The course of action and the settlement details and methods are left completely and solely at the discretion of the 2 active parties i.e. The host and the Doctor who is utilizing the services.

5.5 Inventory:

Inventory management and subscription is a feature of the clinic section made available by Denquity Pvt. Ltd in accordance and as a collaborative feature with third party suppliers and vendors. The making of the list, management of its contents, need and subscription responsibilities lie entire with the doctor or the clinician's end and Denquity is not responsible for any issues arising from the same. Denquity is not responsible for any delay, or missed delivery of the items, Quality of the delivered products, expiry and manufacturing dates, brands and damages of the items delivered in reference to the inventory list as the sole responsibility lies upon the suppliers or vendors based on the availability, pricing, demand and supply of the same in the market.

 

6. Managing Your Listing.

6.1 Creating and Managing Your Listing. The Denquity Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your Host Service, your price, other charges and any rules or requirements that apply to your doctors. You are responsible for keeping your Listing information (including calendar availability) and content (like photos) up-to-date and accurate at all times. We recommend that you obtain appropriate insurance for your Host Services and carefully review policy terms and conditions including coverage details and exclusions. You may only maintain one Listing.

6.2 Know Your Legal Obligations. You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Host Services. For example: some have laws that create additional obligations for Doctors. For example, some places have landlord-tenant, rent control, and eviction laws that may apply. Check your local rules to learn what rules apply to the Host Services you plan to offer. Information we provide regarding legal requirements is for informational purposes only and you should independently confirm your obligations. You are responsible for handling and using personal data of Doctors and others in compliance with applicable privacy laws and these Terms, including our Host Privacy Standards. If you have questions about how local laws apply you should always seek legal advice.

6.3 Search Ranking. The ranking of Listings in search results on the Denquity Platform depends on a variety of factors, including these main parameters:

Doctor search parameters (e.g., number of Chairs, time and duration of the treatment, price range, availability of additional equipments like digital x-ray etc),

Listing characteristics (e.g., price, calendar availability, number and quality of images, Reviews, type of Service, status, age of the Listing, average Doctor popularity),

Doctor booking experience (e.g., customer service and cancellation history of the Host, ease of booking), 

Host requirements (e.g., minimum or maximum Time, booking cut-off time), and

Doctor preferences (e.g., previous trips, saved Listings, location from where the Guest is searching).

Search results may appear different on our mobile application than they appear on our website. Denquity  may allow Hosts to promote their Listings in search or elsewhere on the Denquity Platform by paying an additional fee. More information about the factors that determine how your Listing appears in search results, 

6.4 Your Responsibilities

You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Host Services. You are responsible for setting your price and establishing rules and requirements for your Listing. You must describe any and all fees and charges in your Listing description and may not collect any additional fees or charges outside the Denquity Platform. We Do not encourage Doctors to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Denquity Platform in violation of our Platform Policy.

6.5 Your Assumption of Risk. You acknowledge that hosting carries inherent risks and agree that you assume the entire risk arising out of your access to and use of the Denquity Platform, offering Host Services, or any interaction you have with other Members whether in person or online. You agree that you have had the opportunity to investigate the Denquity Platform and any laws, rules, regulations, or obligations that may be applicable to your Listings or Host Services and that you are not relying upon any statement of law made by Denquity.

 

7. Cancellations and Booking Modifications.

7.1 Cancellations. In general, if a Doctor cancels a reservation, the amount paid to you is determined by the cancellation policy that applies to that reservation. As a host, you should not cancel on a Doctor without a valid reason under our Policy or applicable law. If you cancel on a Doctor without such a valid reason, we may impose a cancellation fee and other consequences. If: (i) a Doctor experiences a Travel Issue (as defined by our Refund Policy), (ii) an Extenuating Circumstance arises, or (iii) a reservation is cancelled the amount you are paid will be reduced by the amount we refund or otherwise provide to the Doctor, and by any other reasonable costs we incur as a result of the cancellation. If a Doctor receives a refund after you have already been paid, or the amount of the refund and other costs incurred by Denquity exceeds your payout, Denquity may recover that amount from you, including by offsetting the refund against your future payouts. You agree that Denquity Refund Policy, and these Terms preempt the cancellation policy you set in situations where they allow for the cancellation of a reservation and/or the issuance of refunds to Doctors. If we reasonably expect to provide a refund to a Doctor under one of these policies, we may delay release of any payout for that reservation until a refund decision is made.

7.2 Booking Modifications. Hosts and Doctors are responsible for any Booking Modifications they agree to make via the Denquity Platform or direct customer service to make on their behalf, and agree to pay any additional amounts, fees or taxes associated with a Booking Modification.

 

8. Taxes.

8.1 Host Taxes. As a host, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any applicable VAT or other indirect taxes, occupancy taxes, income, or other taxes ("Taxes").

8.2 Collection and Remittance by Denquity. In jurisdictions where Denquity facilitates the collection and/or remittance of Taxes on behalf of Hosts, you instruct and authorize Denquity to collect Taxes on your behalf, and/or to remit such Taxes to the relevant Tax authority. Any Taxes that are collected and/or remitted by Denquity are identified to Members on their transaction records, as applicable. Denquity may seek additional amounts from Members (including by deducting such amounts from future payouts) in the event that the Taxes collected and/or remitted are insufficient to fully discharge that Members� tax obligations, and you agree that your sole remedy for Taxes collected by Denquity is a refund from the applicable Tax authority. You acknowledge and agree that we retain the right, with prior notice to affected Members, to cease the collection and remittance of Taxes in any jurisdiction for any reason.

8.3 Tax Information. In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that Denquity may issue on your behalf invoices or similar documentation for VAT, GST, consumption or other Taxes for your Host Services to facilitate accurate tax reporting by you, our Services users (Doctors), and/or their organizations.

 

General Terms

9. Reviews.

After each Host Service, Doctors and Hosts will have an opportunity to review each other. Your Review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Content Policy or Review Policy. Reviews are not verified by Denquity for accuracy and may be incorrect or misleading.

 

10. Content.

Parts of the Denquity Platform enable you to provide feedback, text, photos, audio, video, information, and other content (collectively, �Content�). By providing Content, in whatever form and through whatever means, you grant Denquity a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. Denquity may own that Content, in which case supplemental terms or disclosures will say that. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant Denquity the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Content Policy and Nondiscrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. You agree that Denquity may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Denquity does not guarantee the accuracy or quality of translations and Members are responsible for confirming the accuracy of such translations.

 

11. Fees.

Denquity may charge fees (and applicable Taxes) to Hosts and Doctors for use of the Denquity Platform.  Except as otherwise provided on the Denquity Platform, service fees are non-refundable. Denquity reserves the right to change the service fees at any time, and will provide Members notice of any fee changes before they become effective. Fee changes will not affect bookings made prior to the effective date of the fee change. If you disagree with a fee change you may terminate the agreement.

 

12. Denquity Platform Rules.

12.1 Rules. You must follow these rules and must not help or induce others to break or circumvent these rules. Act with integrity and treat others with respect Do not lie, misrepresent something or someone, or pretend to be someone else. Be polite and respectful when you communicate or interact with others. Follow our Non-discrimination Policy and do not discriminate against or harass others. Do not scrape, hack, reverse engineer, compromise or impair the Denquity Platform. Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Denquity Platform.

Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Denquity Platform or Content. Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the Denquity Platform. Do not take any action that could damage or adversely affect the performance or proper functioning of the Denquity Platform. Only use the Denquity Platform as authorized by these Terms or another agreement with us You may only use another Member�s personal information as necessary to facilitate a transaction using the Denquity Platform as authorized by these Terms. Do not use the Denquity Platform, our messaging tools, or Members� personal information to send commercial messages and promotional without the recipient�s express consent. You may use Content made available through the Denquity Platform solely as necessary to enable your use of the Denquity Platform as a Doctor or Host. Do not use Content unless you have permission from the Content owner or the use is authorized by us in these Terms or another agreement you have with us. Do not request, make, or accept a booking or any payment outside of the Denquity Platform to avoid paying fees, taxes or for any other reason.

Do not require or encourage Doctors to open an account, leave a review, complete a survey, or otherwise interact, with a third party website, application or service before, during or after a reservation, unless authorized by Denquity. Do not engage in any practices that are intended to manipulate our search algorithm. Do not book Host Services unless you are actually using the Host Services. Do not use, copy, display, mirror or frame the Denquity Platform, any Content, any Denquity branding, or any page layout or design without our consent.

Honor your legal obligations Understand and follow the laws that apply to you, including privacy, data protection, and export laws. If you provide us with someone else�s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy.

 

Do not organize or facilitate unauthorized parties or events. You are responsible and liable for any party or event during your reservation that violates, as incorporated by reference herein.

Do not use the name, logo, branding, or trademarks of Denquity or others without permission.

Do not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that may be confused with Denquity branding.

Do not offer Host Services that violate the laws or agreements that apply to you.

Do not offer or solicit prostitution or participate in or facilitate human trafficking or dating or any other kind of relationship expect what is required as a doctor.

 

12.2 Reporting Violations. 

If you believe that a Member, Listing or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting denquity. In addition, if you believe that a Member, Listing or Content has violated our Standards, you should report your concerns to denquity. If you reported an issue to local authorities, denquity may request a copy of that report. Except as required by law, you agree that we are not obligated to take action in response to any report.

12.3 Copyright Notifications. If you believe that Content on the Denquity Platform infringes copyrights, please notify us at info@denquity.com

 

13. Termination, Suspension and other Measures.

13.1 Term. The agreement between you and Denquity reflected by these Terms is effective when you access the Denquity Platform (for example to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

13.2 Termination. 

You may terminate this agreement by deleting your account. Denquity may terminate this agreement and your account for any reason by giving you 30 days� notice via email or using any other contact information you have provided for your account. Denquity may also terminate this agreement immediately and without notice and stop providing access to the Denquity Platform if you breach these Terms, you violate our Policies, you violate applicable laws, or we reasonably believe termination is necessary to protect Denquity, its Members, or third parties. If your account has been inactive for more than two years, we may terminate your account without prior notice.

13.3 Member Violations.

 If (i) you breach these Terms, our Policies, or our Standards, (ii) you violate applicable laws, regulations, or third-party rights, or (iii) Denquity believes it is reasonably necessary to protect Denquity, its Members, or third parties; Denquity may, with or without prior notice: suspend or limit your access to or use of the Denquity Platform and/or your account; suspend or remove Listings, Reviews, or other Content; cancel pending or confirmed bookings; or suspend or revoke any special status associated with your account. For minor violations or where otherwise appropriate as Denquity determines in its sole discretion, you will be given notice of any intended measure by Denquity and an opportunity to resolve the issue. You may appeal actions taken by us under this Section by contacting customer service. If a reservation is cancelled under this Section, the amount paid to the Host will be reduced by the amount we refund or otherwise provide to the Doctor and by any other costs we incur as a result of the cancellation.

13.4 Legal Mandates. Denquity may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body.

13.5 Effect of Termination. If you are a Host and terminate your Denquity account, any confirmed booking(s) will be automatically cancelled and your Service users (Doctors) will receive a full refund. If you terminate your account as a Doctor, any confirmed booking(s) will be automatically cancelled and any refund will depend upon the terms of the reservation�s cancellation policy. When this agreement has been terminated, you are not entitled to a restoration of your account or any of your Content. If your access to or use of the Denquity Platform has been limited, or your Denquity account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Denquity Platform through an account of another Member.

13.6 Survival. Parts of these Terms that by their nature survive termination, will survive termination of this agreement.

 

14. Modification.

Denquity may modify these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the Denquity Platform and update the �Last Updated� date at the top of these Terms. We will also provide you with notice of any material changes by email at least 30 days before the date they become effective. If you disagree with the revised Terms, you may terminate this agreement immediately as provided in these Terms. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the Denquity Platform will constitute acceptance of the revised Terms.

 

15. Denquity�s Role.

We offer a platform that enables Members to publish, offer, search for, and book Host Services. While we work hard to ensure our Members have great experiences using denquity, we do not and cannot control the conduct of doctors and Host clinics. You acknowledge that denquity has the right, but does not have any obligation, to monitor the use of the Denquity Platform and verify information provided by our Members. For example, we may review, disable access to, remove, or edit Content to: (i) operate, secure and improve the denquity Platform (including for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Members� compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) address Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don�t meet quality and eligibility criteria. Members acknowledge and agree that Denquity including decisions about whether and how to apply them to a particular situation, at its sole discretion. Members agree to cooperate with and assist denquity in good faith, and to provide denquity with such information and take such actions as may be reasonably requested by denquity with respect to any investigation undertaken by denquity regarding the use or abuse of the denquity Platform. Denquity is not acting as an agent for any Member except for where denquity Payments acts as a collection agent as provided in the Payments Terms.

 

16. Member Accounts.

You must register an account to access and use many features of the denquity Platform. Only the registered doctors are allowed to sign-up to the platform. Upon and during the sign-up procedure � the doctors need to provide their Registration number and other details which will verified with the respective State�s Dental Registration council. Registration of doctor accounts on the platform is only permitted and natural persons who are 18 years or older. You represent and warrant that you are not a person or entity barred from using the denquity Platform under the laws of the India, your place of residence, or any other applicable jurisdiction. You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible and liable for activities conducted through your account and must immediately notify denquity if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

 

17. Disclaimer of Warranties.

We provide the Denquity Platform and all Content �as is� without warranty of any kind and we disclaim all warranties, whether express or implied. For example: (i) we do not endorse or warrant the existence, conduct, performance, safety, quality, legality or suitability of any Doctor, Host, Host Service, Listing or third party; (ii) we do not warrant the performance or non-interruption of the Denquity Platform; and (iii) we do not warrant that verification, identity or background checks conducted on Listings or Members (if any) will identify past misconduct or prevent future misconduct. Any references to a Member or Listing being "verified" (or similar language) indicate only that the Member or Listing or Denquity has completed a relevant verification or identification process and nothing else. The disclaimers in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties we cannot disclaim, the duration of any such statutorily required rights or warranties, will be limited to the maximum extent permitted by law.

 

18. Limitations on Liability.

Neither Denquity (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the Denquity Platform or any Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the Denquity Platform or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Denquity Platform, or (iv) publishing or booking of a Listing, including the provision or use of Host Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Denquity has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.

 

19. Denquity Query and Community Section

The Query and the Community section on the Denquity platform is specifically and only for the use of Dental students, graduates and Doctors. The term "Users" here forth refers to doctors, clinicians and dental/medical students only. The platform only serves as a place to discuss ideas, exchange knowledge, debate and analyze trends, new innovations and topics related to dentistry and it's advancement. The content discussed or exchanged on this platform are solely for educational purposes and does not serve as an advisory/treatment regimen or plan or any of the sorts. It's a platform just for exchange of thoughts. In case any unforeseen or untoward instances happen in relation to the treatments planned or based on the ideas exchanged on the platform. Denquity Private Limited shall not be liable or responsible for the same. 

 

Terms for Practitioners: Every Practitioner on the Query and Community Platform must be qualified in the area of expertise that he represents as being his qualification. The Query and Community is a platform for exchange of information which is of general nature in a question and answer format. 

 

The Query and community Platform is not for emergency situations. Any Query and Community interaction cannot be construed as a Dental consultation with the Practitioner, in any manner whatsoever. Denquity Users may post on medical and dental issues and ask queries (�Querist�), and these queries can be answered by multiple Practitioners on the Query and Community Platform. It is expressly clarified that no doctor-doctor, doctor - student relationship is established between the Querist and Practitioner, in any manner whatsoever, by indulging in this query or community section. The denquity user may provide probable views, recommendations, suggestions and solutions to the question posted by a Querist. However, it is expressly clarified that any such view, recommendation, suggestion and solution shall not be construed as medical advice. The person in question (being Querist or not) is advised to consult with a doctor in this regard. Practitioner shall not share their personal, religious and/or moral views with the Querist while issuing their response. The Practitioner cannot issue and/or prescribe any medicines on the Query and Community platform. It is a platform for only exchange of information and not a consultation/ dental advice.

 

The Practitioner on the community platform is absolutely and expressly prohibited to: Provide a medical diagnosis; Issue a prescription; Post any response which comprises of any derogatory language, objectionable, pornographic and /or offensive content; Advertise any brand of drugs, supplements, vaccines and medications, in any manner of whatsoever; Advertise to/solicit patients in any manner including without limitation by way of using social media handles, including without limitation, Facebook, twitter etc., telephone/ mobile numbers, YouTube, and address; Promote content and activities which are illegal in nature;

 

Intellectual Property - Making sure you have the rights to post the content you share. Appropriate Imagery - We dont allow nudity on the community section of denquity , with some exceptions, like photos of post-mastectomy scarring and women actively breastfeeding. Nudity in photos of paintings and sculptures is OK, too. Spam - This is not allowed on Denquity Community (creating or submitting unwanted email, comments, likes or other forms of commercial or harassing communications). Illegal Content - We dont allow support or praise of terrorism, organized crime or hate groups on Denquity. Offering sexual services and selling firearms and drugs are also prohibited. Hate Speech, Bullying and Abuse - We remove credible threats of violence, hate speech and the targeting of private individuals. We do not allow attacks or abuse based on race, ethnicity, national origin, sex, gender, gender identity, sexual orientation, religion, disability or disease. Self Injury - We do not allow glorification or encouragement of self-injury, including eating disorders. We do allow content that references self-injury and eating disorders if it is for the purpose of creating awareness or signposting support. Graphic Violence - Graphic violence is not allowed and we may remove videos or images of intense, graphic violence to make sure that Instagram stays appropriate for everyone. If shared in relation to important and newsworthy events, and this imagery is shared to condemn or raise awareness and educate, it may be allowed.

 

In the event of any breach of these Community And Query T&C, Denquity will take appropriate action inter alia ranging from issuing warnings to removal of Practitioner from the Query and Community Platform, in its sole and absolute discretion, on a case to case basis. Any liability arising out of the response issued by a Practitioner will be borne solely by the Practitioner. Query and Community Platform is only a platform interface provided by Denquity for sharing and exchanging information purposes.

 

The Query and Community Platform shall be audited on a regular basis by Denquity for ascertaining compliance by the Practitioner, and the Practitioners consent to the same.  It is clarified that the said audit is not conducted for the purpose of quality check or validation of responses issued by Practitioner. All general Denquity Terms and Conditions shall govern the Query and Community to the extent applicable. Decision of Denquity is final and binding on the issues arising under the Query and Community and Denquity Terms and Conditions.

 

Query and Community Platform is a public forum for dentists and students for exchange of information, hence, any question posted by a querist is visible publicly. It is advisable for a User to ensure that no confidential information is published by them on the Query and Community Platform. User shall not use the Query And Community Platform for emergency situations. The User is prohibited to post any query/issue on the Query and Community Platform, which comprises of any derogatory language, objectionable, pornographic and /or offensive content; Any response provided by the Practitioner shall not be construed as medical/dental advice on the Query and Community Platform. Query and Community Platform is a platform for exchange of information which is of general nature in a question and answer format. This cannot be construed as a medical consultation with the Practitioner, in any manner whatsoever. It is expressly clarified that no doctor-doctor, doctor - student relationship is established between the user and Practitioner, in any manner whatsoever, by indulging in this Query and Community. The Practitioner may provide probable views, recommendations, suggestions and solutions to the question posted. However, it is expressly clarified that any such views, recommendations, suggestions and solutions shall not be construed as medical/dental advice. The person in question (being Querist or not) is advised to consult with a doctor in this regard.

 

All general Denquity Terms and Conditions shall govern the Query and Community section to the extent applicable. Decision of Denquity is final and binding on the issues arising under the Query and Community section and Denquity Terms and Conditions. Denquity shall have the right to edit or remove the Content and any comments in such manner as it may deem at any time.

 

Practitioner/student/user shall ensure that the Content or any further responses to the Content (including responses to Users) is not harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic or libelous in any manner. Further, User should ensure that the Content is not invasive of any other person�s privacy, or otherwise contains any elements that is hateful, racially or ethnically objectionable, disparaging, or otherwise unlawful in any manner whatever. Denquity reserves the right to remove any Content which it may determine at its own discretion is violative of these Terms and Conditions or any law or statute in force at the time. Also, the User agrees to absolve Denquity from and indemnify Denquity against all claims that may arise as a result of any legal claim arising from the nature of the Content posted by the Practitioner.

 

User shall ensure that the User Comment is not harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic or libelous in any manner. Further, User should ensure that the User Comment is not invasive of any other person�s privacy, or otherwise contains any elements that are hateful, racially or ethnically objectionable, disparaging, or otherwise unlawful in any manner whatsoever. DENQUITY reserves the right to remove any Content which it may determine at its own discretion is violative of these Terms and Conditions or any law or statute in force at the time Also, the User agrees to absolve Denquity from and indemnify Denquity against all claims that may arise as a result of any legal claim arising from the nature of the User Comment.

 

Consultation Terms and Conditions

 

Denquity Private Limited ("DPL") is the service provider of services mentioned below. DPL under the brand name �Denquity� operates the said services through https://www.denquity.com and the mobile application �Denquity� (together, �Website�). Reference to (�DPL�) includes, Denquity Private Limited, its subsidiaries, group companies and their affiliates.

 

NATURE AND APPLICABILITY OF TERMS:
Please carefully go through these terms and conditions (�Terms�) and the privacy policy available at www.denquity.com (�Privacy Policy�) before you decide to access the Website or avail the services. These Terms and the Privacy Policy together constitute a legal agreement (�Agreement�) between you and DPL (on its and its affiliates behalf) in relation to the Services (as defined below).

The Agreement applies to: a dental practitioner or health care provider (whether an individual professional or an organization) or similar institution providing the services on the Consult platform or the Consult (International) platform, as the case may be (�Practitioner(s)�, �you� or �User�); or A patient, his/her representatives or affiliates, searching for Practitioners through the Website (�End-User�, �you� or �User�); or Otherwise a user of the Website (�you� or �User�).  This Agreement applies to those services provided by DPL on the Website, (�Services�), The Services may change from time to time, at the sole discretion of DPL, and the Agreement will apply to you providing the Service. DPL reserves the right to modify or terminate any portion of the Agreement for any reason and at any time, and such modifications shall be informed to you in writing. You should read the Agreement at regular intervals. Your providing of Services following any such modification constitutes your agreement to follow and be bound by the Agreement so modified. You acknowledge that you will be bound by this Agreement for providing any of the Services offered by us. If you do not agree with any part of the Agreement, please do not use the Website or avail any Services. The Agreement is published in compliance of, an is governed by the provisions of Indian law, including but not limited to: the Indian Contract Act, 1872, the (Indian) Information Technology Act, 2000.

Consultation 

Definition:
Consultation is a Service provided by DPL that allows Users, Practitioners and students to communicate, on paid mode. Further, Users may access this feature on Website/ platform/app to get assigned, for the purposes of consultation and treatment, to a Practitioner whereby such Practitioners are inter alia assigned through the system�s algorithm/software-program that finds the most available and accepting Practitioner at that time. The scope of this feature as detailed herein is collectively referred to as Consultation. In case any prescription is being provided to User by the Practitioner, the same is being provided on the basis Of the online consultation and/or in-person consultation, however it may vary when examined in person, hence, in no event shall the prescription provided by Practitioners be relied upon as a final and conclusive solution.

Terms for Practitioners:

The Practitioner shall promptly reply to the User after receiving User�s communication. In case of non-compliance with regard to adhering to the applicable laws/rules/regulations/guidelines by the Practitioner, Denquity Private Limited shall have the right to replace such Practitioners for the purpose of consultation to the User. The Practitioner further understands that, there is a responsibility on the Practitioner to treat the User, pari passu, as the Practitioner would have otherwise treated the User on a physical one-on-one consultation model. The Practitioner has the discretion to cancel any consultation at any point in time in cases where the Practitioner feels it is beyond his/her expertise or his/her capacity to treat the User. In such cases, it may trigger a refund to the User and the User has the option of choosing other Practitioners. However, it is strongly recommended that the Practitioner advise the User and explain appropriately for next steps which may include referring the User for further evaluation. The Practitioner is and shall be duly registered, licensed and qualified to practice dentistry/ provide health care, wellness services, as per applicable laws/regulations/guidelines set out by competent authorities and the Practitioner shall not be part of any arrangement which will prohibit him/her from practicing medicine within the territory of India. The Practitioner shall at all times ensure that all the applicable laws that govern the Practitioner shall be followed and utmost care shall be taken in terms of the consultation/ services being rendered. Practitioner shall ensure that, the consultation online is treated as an in-clinic consultation and provide advice to the best of Practitioners� knowledge. 

The Practitioner hereby agrees to DPL�s team carrying out an audit of his/her consultations on the Denquity platform for the purpose of improving treatment quality, user experience, and other related processes. The Practitioner acknowledges that the subject matter of audit may include their personal information. This personal information will be processed in accordance with the Privacy Policy. For direct consultations on the Denquity platform, the practitioner shall ensure that they respond to User's health concern within a maximum of two (2) hours of the Practitioner receiving the message (in exceptional circumstances, where the consultation was allocated to a Practitioner without their acceptance). However, the time frame for response shall be between 9 am to 9 pm.

In case, the Practitioner accepts a User�s consultation by their own choice, then such Practitioners shall ensure to provide a response within five (5) minutes of accepting the said consultation. Also, the response time for a Practitioner during an active consultation shall not exceed five (5) minutes. In case, the Practitioner has marked himself/herself available for a particular consultation on the platform and in the event a consultation has been auto allocated to a Practitioner, then such Practitioners shall ensure to provide a response to the User within five (5) minutes of accepting the consultation and during the active consultation period.

Practitioners should provide e-prescriptions to the Users only via the prescription module. However, when the Practitioner creates an e-prescription, the Practitioner will be required to confirm the e-prescription with their electronic signature explicitly or implicitly by clicking on the signature option made available or any other form of opt-in methods as provided therein. The Practitioner hereby agrees and covenants to be responsible and liable for the content of e-prescription and the authenticity of his signature signed electronically. In addition to any indemnity warranties provided elsewhere in the Agreement, the Practitioner hereby agrees to hold DPL, its officers, employees, agents and affiliates harmless from any claims, damages, losses or penalties arising out of any third party claims in connection with the validity of the e-prescription, its content and/or electronic signature. For a Practitioner to complete a consultation, it is mandatory to provide a consultation summary via the e-prescription module to all Users. The recommended contents (at least one) of the said consultation summary are : Summary of presenting illness, Provisional diagnosis, Medicine posology including side effects if any, Diagnostics, Lifestyle changes, Other instructions if any, Referral for physical consultation (if necessary), Where the Practitioner learns that a physical consultation is mandatory for accurate diagnosis and resolution of the case, the Practitioner shall mandatorily be required to provide a patient referral for physical evaluation along with required information via the prescription module. Practitioners shall not prescribe, medical termination pregnancy medication, sedatives, Hypnotics, opioids, schedule X drugs, or fourth generation antibiotics on the Consult platform. If any such drugs are indicated for treatment for a given consultation, the Practitioner shall refer the User for a physical consultation. In the event the Practitioner learns about physical abuse, sexual misconduct (especially in minors), or User self-harm (suicide: planned, attempted or completed), the Practitioner agrees to report  events to DPL via the email: info@denquity.com immediately.

 The Practitioners agrees not to request see for images or video of the User's private body parts in any manner whatsoever until and unless all other options have been exhausted to diagnose the User�s condition and it is absolutely necessary to arrive at a probable diagnosis. If Practitioner needs to change the status to 'unavailable', the same could be changed after having completed all the open consultations. In case the Practitioner leaves a consultation open and changes the status to 'unavailable', the Practitioner understands that he shall be liable to pay such penalty as may be imposed by DPL, in these cases. The Practitioner is not allowed to use any other platform other than the Denquity platform for the purpose of interacting/communicating with the User and any attempt by the Practitioner to interact with the Users through any other external means of communication will amount to violation of this Agreement by the Practitioner. If the Practitioner�s performance on the Denquity platform is not compliant with the expected guidelines of DPL or the Practitioner is found to be misusing the Denquity platform, the Practitioner may result in losing the privilege of using the Denquity Doctors feature & platform. The Practitioner acknowledges that should DPL find the Practitioner to be in violation of any of the applicable laws/rules/ regulations/guidelines set out by the authorities then DPL shall be entitled to cancel the consultation with such Practitioner or take such other legal action as may be required. In case of there being any technical failure, at the time of transaction and there is a problem in making payment, User may contact DPL's support team. It is further understood by the Practitioner that the information that is disclosed by the User at the time of consultation is personal information and is subject to all applicable privacy laws, shall be confidential in nature and subject to User and Practitioner privilege. The Practitioner understands that DPL makes no promise or guarantee for any uninterrupted communication and the Practitioner shall not hold DPL liable, if for any reason the communication is not delivered to the User(s), or are delivered late or not accessed, despite the efforts undertaken by DPL. The Practitioner understands that DPL makes no promise or guarantee for the number of consultations that will be allocated to a Practitioner on the Denquity platform. The consultations allocated to a Practitioner will depend upon various factors, which inter-alia includes, consultation response time, patient feedback and number of practitioners available, etc., It is the responsibility of the Practitioner to keep a track of their overall performance. It shall be the responsibility of the Practitioner to ensure that the information provided by User is accurate and not incomplete and understand that DPL shall not be liable for any errors in the information included in any communication between the Practitioner and User. The Practitioner shall indemnify and hold harmless DPL and its affiliates, subsidiaries, directors, officers, employees and agents from and against any and all claims, proceedings, penalties, damages, loss, liability, actions, costs and expenses (including but not limited to court fees and attorney fees) arising due to the Services provided by Practitioner, violation of any law, rules or regulations by the Practitioner or due to such other actions, omissions or commissions of the Practitioner that gave rise to the claim. 

CONFIDENTIALITY


The Practitioner using the Denquity platform shall have the following confidentiality obligations:

Practitioner agrees to keep confidential all deliverables and all data, technical, product, business, financial, and other information regarding the business and software programs of DPL, its affiliates, customers, employees, investors, contractors, vendors and suppliers (the �Confidential Information�), including but not limited to programming techniques and methods, research and development, computer programs, documentation, marketing plans, customer identity, user engagement models and business methods. Without limiting the generality of the foregoing, Confidential Information includes all information and materials disclosed orally or in any other form, regarding DPL�s and/or its affiliates� software products or software product development including, but not limited to, the configuration techniques, data classification techniques, user interface, applications programming interfaces, data modelling and management techniques, data structures, and other information of or relating to DPL�s and/or its affiliates� software products or derived from testing or other use thereof.

Practitioner shall at all times protect and safeguard the Confidential Information and agrees not to disclose, give, transmit or otherwise convey any Confidential Information, in whole or in part, to any other person.

Practitioner agrees that it will not use any Confidential Information for its own purpose or for the benefit of any third party and shall honour the copyrights and other intellectual property rights of DPL and will not copy, duplicate, or in any manner reproduce any such copyrighted materials. Upon request of DPL or upon termination of the Agreement, Consultant shall promptly deliver to DPL any and all documents, notes, or other physical embodiments of or reflecting the Confidential Information (including copies thereof), if any that are in possession or control of the Practitioner. Nothing in the Agreement will be construed as conveying to the Practitioner any right, title or interests or copyright in or to any Confidential Information of DPL; or to convey any license as to use, sell, exploit, copy or further develop any such Confidential Information. The confidentiality obligations of the Practitioner as mentioned herein will survive termination or expiration of the Agreement. DPL has the right to take such action it deems necessary to protect its rights hereunder, including, without limitation, injunctive relief and any other remedies as may be available at law or equity. Any non-disclosure agreement signed between DPL and the Practitioner will remain effective, provided that its duration shall be extended coterminous with the Agreement. If there is a conflict between the confidentiality obligations of the Agreement and any non-disclosure agreement, the most restrictive obligation will prevail.

TERMINATION
DPL/Denquity (as the context warrants) reserves the right to suspend or terminate services provided through the Website and under this Agreement, with or without notice and to exercise any other remedy available under law, in case of the occurrence of the following events: Practitioner breaches any terms and conditions of the Agreement or contravenes applicable laws; and A third-party reports violation of any of its right as a result of your use of the Services.

LIMITATION OF LIABILITY
In no event, including but not limited to negligence, shall DPL, or any of its directors, officers, employees, agents or content or service providers, affiliates and group companies (collectively, the �Protected Entities�) be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to, the use of, or the inability to use, the Website or the content, materials and functions related thereto, the Services, User�s provision of information via the Website, lost business or lost End-Users, even if such Protected Entity has been advised of the possibility of such damages. In no event shall the Protected Entities be liable for: provision of or failure to provide all or any Service by Practitioners to End- Users contacted or managed through the Website; any content posted, transmitted, exchanged or received by or on behalf of any User or other person on or through the Website; any unauthorized access to or alteration of your transmissions or data; or any other matter relating to the Website or the Service. In no event shall the total aggregate liability of the Protected Entities to a User for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from this Agreement or a User�s use of the Website or the Services exceed, in the aggregate Rs. 1000/- (Rupees One Thousand Only).

SEVERABILITY
If any provision of the Agreement is invalid as per applicable law, held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event, the Agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitral tribunal.

WAIVER
No provision of this Agreement shall be deemed to be waived and no breach excused, unless such waiver or consent shall be in writing and signed by DPL. Any consent by DPL to, or a waiver by DPL of any breach by you, whether expressed or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

NO DISPARAGEMENT
Notwithstanding anything herein, neither party will make any claims, representations or warranties on behalf of the other party or bind the other party, and neither party is authorized to do so by this Agreement. The relationship between the parties will be that of independent contractors. Nothing contained herein will be construed to imply a joint venture, principal or agent relationship, or other joint relationship, and neither party will have the right, power or authority to bind or create any obligation, express or implied, on behalf of the other party. Practitioner shall not make any public statement disparaging the other party�s brand, marks, products or services. Each party will retain all right, title and interest in and to its products, services, marks, and all content, information and other materials, and nothing contained in this Agreement will be construed as conferring upon such party, by implication, operation of law or otherwise, any other license or other right.

APPLICABLE LAW AND DISPUTE SETTLEMENT
The parties agree that this Agreement and any contractual obligation between Denquity and User will be governed by the laws of India. The courts at Bengaluru shall have exclusive jurisdiction over any disputes arising out of or in relation to this Agreement, User�s use of the Website or the Services or the information to which it gives access. 

TERMS OF  USE PRACTITIONERS
The terms in this are applicable only to Practitioners.

 LISTING POLICY

Denquity, directly and indirectly, collects information regarding the Practitioners� profiles, contact details, and practice. Denquity reserves the right to take down any Practitioner�s profile as well as the right to display the profile of the Practitioners, with or without notice to the concerned Practitioner. This information is collected for the purpose of facilitating interaction with the End-Users and other Users. If any information displayed on the Website in connection with you and your profile is found to be incorrect, you are required to inform Denquity immediately to enable Denquity to make the necessary amendments. Denquity shall not be liable and responsible for the ranking of the Practitioners on external websites and search engines. Denquity shall not be responsible or liable in any manner to the Users for any losses, damage, injuries or expenses incurred by the Users as a result of any disclosures or publications made by Denquity, where the User has expressly or implicitly consented to the making of disclosures or publications by Denquity. If the User had revoked such consent under the terms of the Privacy Policy, then Denquity shall not be responsible or liable in any manner to the User for any losses, damage, injuries or expenses incurred by the User as a result of any disclosures made by Denquity prior to its actual receipt of such revocation.

Denquity reserves the right to moderate the suggestions made by the Practitioners through feedback and the right to remove any abusive or inappropriate or promotional content added on the Website. However, Denquity shall not be liable if any inactive, inaccurate, fraudulent, or non- existent profiles of Practitioners are added to the Website.

Practitioners explicitly agree that Denquity reserves the right to publish the Content provided by Practitioners to a third party including content platforms.

When you are listed on Denquity.com, End-Users may see a �show number� option. When End-Users choose this option, they choose to call your number through a free telephony service provided by Denquity, and the records of such calls are recorded and stored in Denquity�s servers. Such call will have an IVR message stating the purpose of recording your calls and your consent to such recordings which are dealt with as per the Privacy Policy. Such records may be accessed by Denquity for quality control and support related purposes and are dealt with only in accordance with the terms of the Privacy Policy. Such call facility provided to End-Users and to you by Denquity should be used only for appointment and booking purposes, and not for consultation on Dental-related issues. Denquity accepts no liability if the call facility is not used in accordance with the foregoing. In case you choose to not provide your consent to recording your calls that may have personal information required for appointment and booking purposes, Denquity reserves the right to not provide the Services for which such personal information is sought.

You as a Practitioner hereby represent and warrant that you will use the Services in accordance with applicable law. Any contravention of applicable law as a result of your use of these Services is your sole responsibility, and Denquity accepts no liability for the same.

PROFILE OWNERSHIP AND EDITING RIGHTS
Denquity ensures easy access to the Practitioners by providing a tool to update your profile information. Denquity reserves the right of ownership of all the Practitioner�s profile and photographs and to moderate the changes or updates requested by Practitioners. However, Denquity takes the independent decision whether to publish or reject the requests submitted for the respective changes or updates. You hereby represent and warrant that you are fully entitled under law to upload all content uploaded by you as part of your profile or otherwise while using Denquity�s services, and that no such content breaches any third party rights, including intellectual property rights. Upon becoming aware of a breach of the foregoing representation, Denquity may modify or delete parts of your profile information at its sole discretion with or without notice to you.

REVIEWS AND FEEDBACK DISPLAY RIGHTS OF Denquity.

All Critical Content is content created by the Users of www.denquity.com (�Website�) and the clients of Denquity customers and Practitioners, including the End-Users. As a platform, Denquity does not take responsibility for Critical Content and its role with respect to Critical Content is restricted to that of an �intermediary� under the Information Technology Act, 2000. Denquity�s Feedback Collection and Fraud Detection Policy, is annexed as the Schedule hereto, and remains subject always to these Terms. Denquity reserves the right to collect feedback and Critical Content for all the Practitioners, Clinics and Healthcare Providers listed on the Website. Denquity shall have no obligation to pre-screen, review, flag, filter, modify, refuse or remove any or all Critical Content from any Service, except as required by applicable law.

You understand that by using the Services you may be exposed to Critical Content or other content that you may find offensive or objectionable. Denquity shall not be liable for any effect on Practitioner�s business due to Critical Content of a negative nature. In these respects, you may use the Service at your own risk. Denquity however, as an �intermediary, takes steps as required to comply with applicable law as regards the publication of Critical Content. The legal rights and obligations with respect to Critical Content and any other information sought to be published by Users.

 Denquity will take down information under standards consistent with applicable law, and shall in no circumstances be liable or responsible for Critical Content, which has been created by the Users. The principles set out in relation to third party content in the terms of Service for the Website shall be applicable mutatis mutandis in relation to Critical Content posted on the Website.

If Denquity determines that you have provided inaccurate information or enabled fraudulent feedback, Denquity reserves the right to immediately suspend any of your accounts with Denquity and makes such declaration on the website alongside your name/your clinics name as determined by Denquity for the protection of its business and in the interests of Users.

Denquity REACH RIGHTS


Denquity reserves the rights to display sponsored ads on the Website. These ads would be marked as �Sponsored ads�. Without prejudice to the status of other content, Denquity will not be liable for the accuracy of information or the claims made in the Sponsored ads. Denquity does not encourage the Users to visit the Sponsored ads page or to avail any services from them. Denquity will not be liable for the services of the providers of the Sponsored ads.
You represent and warrant that you will use these Services in accordance with applicable law. Any contravention of applicable law as a result of your use of these Services is your sole responsibility, and Denquity accepts no liability for the same.

 BOOK APPOINTMENT AND CALL FACILITY

As a valuable partner on our platform, we want to ensure that the Practitioners experience on the Denquity booking platform is beneficial to both, Practitioners and their Users. For all terms and conditions of Book facilities. Practitioner understands that, Denquity shall not be liable, under any event, for any comments or feedback given by any of the Users in relation to the Services provided by Practitioner. The option of publishing or modifying or moderating or masking (where required by law or norm etc.) the feedback provided by Users shall be solely at the discretion of Denquity. 

 PRACTITIONER UNDERTAKING
The Practitioner is and shall be duly registered, licensed and qualified to practice medicine/ provide health care, wellness services, as per applicable laws/regulations/guidelines set out by competent authorities and the Practitioner shall not be part of any arrangement which will prohibit him/her from practicing medicine within the territory of India. The Practitioner shall at all times ensure that all the applicable laws that govern the Practitioner shall be followed and utmost care shall be taken in terms of the consultation/ services being rendered.

 USAGE IN PROMOTIONAL & MARKETING MATERIALS
In recognition of the various offerings and services provided by Denquity to Practitioner, Practitioner shall (subject to its reasonable right to review and approve): (a) allow Denquity to include a brief description of the services provided to Practitioner in Denquity�s marketing, promotional and advertising materials; (b) allow Denquity to make reference to Practitioner in case studies, and related marketing materials; (c) serve as a reference to Denquity�s existing and potential clients; (d) provide video logs, testimonials, e-mailers, banners, interviews to the news media and provide quotes for press releases; (e) make presentations at conferences; and/or (f) use the Practitioner�s name and/or logo, brand images, tag lines etc., within product literature, e-mailers, press releases, social media and other advertising, marketing and promotional materials.

RIGHTS AND OBLIGATIONS RELATING TO CONTENT

As mandated by Regulation 3(2) of the IG Rules, Denquity hereby informs Users that they are not permitted to host, display, upload, modify, publish, transmit, update or share any information that:

Belongs to another person and to which the User does not have any right to; is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; harm minors in any way; infringes any patent, trademark, copyright or other proprietary rights; violates any law for the time being in force; deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature; impersonate another person; contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

Users are also prohibited from: 

violating or attempting to violate the integrity or security of the Website or any Denquity Content; transmitting any information (including job posts, messages and hyperlinks) on or through the Website that is disruptive or competitive to the provision of Services by Denquity; intentionally submitting on the Website any incomplete, false or inaccurate information; making any unsolicited communications to other Users; using any engine, software, tool, agent or other device or mechanism (such as spiders, robots, avatars or intelligent agents) to navigate or search the Website; attempting to decipher, decompile, disassemble or reverse engineer any part of the Website; copying or duplicating in any manner any of the Denquity Content or other information available from the Website; framing or hot linking or deep linking any Denquity Content. circumventing or disabling any digital rights management, usage rules, or other security features of the Software. 

Denquity, upon obtaining knowledge by itself or been brought to actual knowledge by an affected person in writing or through email signed with electronic signature about any such information as mentioned above, shall be entitled to disable such information. Denquity shall also be entitled to preserve such information and associated records for at least 90 (ninety) days for production to governmental authorities for investigation purposes.

In case of non-compliance with any applicable laws, rules or regulations, or the Agreement (including the Privacy Policy) by a User, Denquity has the right to immediately terminate the access or usage rights of the User to the Website and Services and to remove non-compliant information from the Website.

Denquity may disclose or transfer User-generated information to its affiliates or governmental authorities in such manner as permitted or required by applicable law, and you hereby consent to such transfer. The SPI Rules only permit Denquity to transfer sensitive personal data or information including any information, to any other body corporate or a person in India, or located in any other country, that ensures the same level of data protection that is adhered to by Denquity as provided for under the SPI Rules, only if such transfer is necessary for the performance of the lawful contract between Denquity or any person on its behalf and the User or where the User has consented to data transfer. Denquity respects the intellectual property rights of others and we do not hold any responsibility for any violations of any intellectual property rights. 

TERMINATION 

Denquity reserves the right to suspend or terminate a User�s access to the Website and the Services with or without notice and to exercise any other remedy available under law, in cases where, Such User breaches any terms and conditions of the Agreement; A third party reports violation of any of its right as a result of your use of the Services; Denquity is unable to verify or authenticate any information provide to Denquity by a User; Denquity has reasonable grounds for suspecting any illegal, fraudulent or abusive activity on part of such User; or Denquity believes in its sole discretion that User�s actions may cause legal liability for such User, other Users or for Denquity or are contrary to the interests of the Website. Once temporarily suspended, indefinitely suspended or terminated, the User may not continue to use the Website under the same account, a different account or re-register under a new account. On termination of an account due to the reasons mentioned herein, such User shall no longer have access to data, messages, files and other material kept on the Website by such User. The User shall ensure that he/she/it has continuous backup of any medical services the User has rendered in order to comply with the User�s record keeping process and practices. 

LIMITATION OF LIABILITY
In no event, including but not limited to negligence, shall Denquity. or any of its directors, officers, employees, agents or content or service providers (collectively, the �Protected Entities�) be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to, the use of, or the inability to use, the Website or the content, materials and functions related thereto, the Services, User�s provision of information via the Website, lost business or lost End-Users, even if such Protected Entity has been advised of the possibility of such damages. In no event shall the Protected Entities be liable for: provision of or failure to provide all or any service by Practitioners to End- Users contacted or managed through the Website; any content posted, transmitted, exchanged or received by or on behalf of any User or other person on or through the Website; any unauthorized access to or alteration of your transmissions or data; or any other matter relating to the Website or the Service. In no event shall the total aggregate liability of the Protected Entities to a User for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from this Agreement or a User�s use of the Website or the Services exceed, in the aggregate Rs. 1000/- (Rupees One Thousand Only).

SEVERABILITY
If any provision of the Agreement is held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event, the Agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitral tribunal.

WAIVER
No provision of this Agreement shall be deemed to be waived and no breach excused, unless such waiver or consent shall be in writing and signed by Denquity. Any consent by Denquity to, or a waiver by Denquity of any breach by you, whether expressed or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

Supply:

You acknowledge and undertake that you are wholly responsible for your decision to buy any product/products after your own analysis, judgement and thereafter transaction done by you on this website. Denquity.com website/app takes no responsibility for the usage, implementation and result/outcome of the products. It is entirely the buyer�s/user�s responsibility to choose and decide the right product.

Entitlement to the goods remains that of Denquity.com website/app until you have paid for them. Entitlement will pass to you once the goods are paid in full and all payments have been cleared by a relevant banking process.

1. Denquity.com website/app reserves the right to not allow any changes to the order after the order has been accepted/placed.

2. Denquity.com website/app will not be responsible for any transactions done by mistake due to any internet issue at customer�s end.

3. All reasonable attempts will be made to ensure that all the information given on this website is accurate, but offers no liability or assurance of genuineness of the information. 5. Customer is solely responsible for the account information like username and password and you hereby undertake the responsibility of any action taking place in your account.

6. You acknowledge and agree that any information provided by you is only yours and does not infringe the confidentiality of a third party/person in any way.

7. If you are making a purchase on someone else�s behalf, you agree and bound the account holder to all the terms and conditions of the Denquity.com website/app.

8. In case of any knowledge or belief that your information has been breached in any way, you must contact Denquity.com website/app at info@denquity.com

9. If any issue is suspected as per the confidentiality of your account, you might be asked to change your password or re-register with no liability of Denquity.com website/app.

10. The pictures of all products at Denquity.com website/app are merely indicated for information and may vary from the actual product. Denquity isn't responsible for the images uploaded for the products as all the data related to products will be added by the supplier at his/her own discretion. Product packaging also might vary or change from time to time

11. Denquity.com website/app strives to provide accurate product and pricing information; however, errors may occur and Denquity is not liable or responsible for the same.

12. Denquity.com website/app reserves all rights to change/alter prices of any product and suspend/cancel orders at any point of time unless it has been received by the customer.

15. In case of cancellation of the paid order, the paid amount will be reversed to the account information provided at the time of purchase and Denquity.com website/app will not be responsible for any accurate time duration taken in the transfer. 16. If any product is found unavailable after receiving the order, the customer will be notified of the order cancellation via email and payment will be refunded to the same account of the account holder from which payment was made. Denquity.com website/app shall not be liable to any damages or delay in the delivery of the product resulting from the delay of the subsequent treatment procedure,  in such event/events owing to cancellation of the order or delay in delivery

Denquity Collaborate:

Denquity is just a listing platform and serves as a medium to help connect doctors with each other. The Doctors, clinicians or practitioners who use the Collaborate feature on the Denquity platform hereby agree that they connect, collaborate and communicate based on their own Judgement, analysis and free will.

All responsibility and liability regarding treatment costs, materials involved, behaviour of individuals, sharing of data, misuse of patient details and data etc lies upon the individuals/doctors involved in the same and Denquity bears no responsibility for it. All of the price listing, charges, and costs involved in this segment of the platform is completely upon the doctor's own decision and Denquity plays no role in the same. Denquity is entitled to collect convenience fee and charges for the usage of the feature by the doctors/practitioners. We at Denquity strongly urge and insist that payments involved during the process of the Collaborate feature should go through Denquity's digital payment portal. Any transaction made outside of it and issues arising from the same - Denquity does not hold any responsibility not is it liable for the same.

Denquity Mentor

Denquity is just a platform that enables licensed Practitioners, Doctors and graduates to help create courses, make content and create modules for academic purposes and help budding students or doctors to have clarity, learn and grow in the field. Mentor section on the Denquity platform just acts as a platform connecting the students to doctors/practitioners for an exchange of ideas, thoughts and learnings. Denquity urges doctors and the students to maintain a strict teacher-student relationship. Anything on-toward incidents or scenarios occurring from the same between 2 individuals, Denquity holds no responsibility for it. Denquity holds no responsibility over the suggestions, solutions, opinions, methodology of teaching, content etc created or given our by doctors or practitioners to students. Choosing to follow anything on the lines mentioned here will be upon students' own free will.

The doctors or practitioners hold the right to accept, reject, terminate any mentor or course request made by the students. Denquity holds no responsibility for the same.

Live treatment sessions/feature, one-to-one mentoring listed on the Mentor section of the platform is solely for academic and educational purposes. Anything that strays away from the same, Denquity holds no responsibility nor is it liable for the same. The live treatment session and case mentoring is done after a prior information given and explained to the patients before the commencement of the treatment/session. The patient's willingness to co-operate and go ahead with the procedure is considered as a consent on its own for the same.

The certificate course created or delivered on the platform is not recognized by DCI or KSDC and it does not give a person A license nor authority to practice Dentistry without the qualifications prescribed by DCI.

It is more of an acknowledgement of completion of a workshop activity or a skill set acquired through the guidance of another Doctor for enhancements of existing skills. The certificate is not validated by any institution nor any country.

 

Following guidelines - guidelines given on app or website is from reputed sources, doctors are obliged to go through the same and keep themselves updated. Denquity holds no responsibility when doctors for not following guidelines

 

We at Denquity urge and insist doctors, clinicians, personnel, student and other people involved in the process of usage of the services of the platform and the delivery of the treatment to follow the Guidelines specifically given out by recognized bodies under the Indian government namely, DCI, WHO, MOHFW and other respective State recognized Bodies (example: KSDC, Karnataka),We urge the people involved in the usage of the platform to go through the Guidelines section of the platform everyday and to keep themselves updated regarding the guidelines, changes and updates issued by the same to follow them regularly in their daily practice. Failure to do so, or any issues/situations due to the same accounts to negligence of the Doctor, practitioner or a clinician and the entire responsibility for the same lies upon them.

Denquity holds no responsibility nor is liable for any issues arising regarding this.

 

Equipment - The equipment we use is modified for the convenience of doctors by a third party vendor at his own risks and knowledge of equipment functioning over the years.

As per our knowledge, It is to be noted that there is no Government document nor warranty provided by the vendor for the equipment being sold. The equipments are said to be in a constant phase of development and we at Denquity use it, only keeping in mind of the situational needs and convenience of the lives and comfort of patients.

Doctors at Denquity or Denquity by large, is not responsible for the quality of the equipments, performance, safety nor any issues arising from the same. Any untoward incident or situation reported regarding the same - Denquity will not be held liable.

Doctors and personnel using the equipments do so at their own good judgement and knowledge, upon their own free will.

 

Services - 

Services feature on The Denquity platform is a third party aggregation platform where a list of Dealers dental services personnel, equipment repairs, hand instruments repairs so on and so forth who are enrolled on the platform can be accessed by the doctors, clinicians and students as per need. The charges, pricing, and quality of work is all independent of Denquity and Denquity is not responsible for any of it. Accessing this section or using the services provided by the people listed is upon the doctor's, clinician's and students' own free will, risk and onto their best of knowledge.

 

Insurance - 

We at Denquity aim at providing the doctors and patients a safe working environment and at the same time not put either of them at risk. We aim to equip the doctors working with us or using our services with A Practice insurance. This will be given to all the doctors who wish to enroll for the same. The insurance will be provided by a third party entity who has partnered with us for the same. The Practice insurance will be valid for only those treatments, case visits and consultations that have payments go through our payments gateway and/or treatments entirely worked through and through with Denquity Private Limited.

 

Emergency -  

The emergency section on the Denquity platform is purely for cases and situations of "Emergency". It is aimed at contacting the Emergency Doctor and/or ambulance service listed directly. Choosing to use this section is upon the treating Doctor's or clinicians' judgment, discretion and assessment. This section is supposed to be used only in cases of absolute emergencies or in situations that are beyond the control or purview of the doctor.

Miss-using the same unnecessarily may lead to termination of the account of the respective doctor/clinician and the decision will rest with Denquity.

 

 

 

Denquity Students: Terms and Conditions

1.Patient data: As a Student, denquity offers you a platform to make digital practice, manage your appointments at your academic course. We at Denquity do not endorse nor provide any patients for the academic courses or treatments with respect to students.

 

1.1 We at Denquity recommend that all patient data, details and findings be recorded on the Case history sheet and services available on the platform. 

Any data and details of the patients, users and doctors recorded anywhere else and outside the platform does not fall under the scrutiny, responsibility not liability with respect to Denquity private limited. Denquity is just a platform which aids in ease of management of your schedules, appointments, track your patients, have their case sheets digitally etc.

We are not responsible for any misuse, leak, errors, wrong diagnosis, terminologies so on and so forth caused due to negligence or lack of understanding from the students end.

 

1.2 Denquity is not responsible for any delay in appointments, missed appointments, wrong schedules, clubbed appointments or lack of provision of treatment at the patient's end or the doctor's end.

We serve merely as a platform and an aid to assist with your regular management of patients, appointments and schedules.

 

1.3 We at Denquity are not responsible for the privacy of the patient details, data and treatment regimens nor diagnosis. All the x-rays, in-op images, pre and post treatment images, addresses etc uploaded on the platform will be safe and bound by user privacy policy as long as it remains on and within the platform. Anything that is shared, delegated to other entities, people or platforms. Denquity is not responsible for the same. We strongly urge you not to do the same. In case, such a scenario does occur - the sole responsibility goes with the one who is sharing the information i.e. the student, doctor, clinician or any other member involved.

 

1.4 Denquity is not responsible for the diagnosis, treatment protocol determined, treatments given nor the outcome, post-operative complications nor side-effects of the same.

The entire responsibility and liability lies upon the student/doctor/clinician who is treating and the procedure done will be upon their own discretion and judgment.

 

2. Lab - denquity offers unique Platform to request lab, tract lab order and get information about the lab.

 

2.1 The lab section available on the Denquity platform or the website is a third party collaboration and Denquity does not hold any responsibility for using the services of the same.

The doctor/clinic/clinician (You, Your etc.) may use the service upon his or her own research and knowledge.

 

2.2 All the orders generated while using the services are created online and the data generated will be the responsibility of  You alone. The order follow up, quality of work, acceptance/rejection of the same from the lab's end, tracking and progress of the work, delivery or any delays involved etc are all upto and upon the lab's own discretion and Denquity has no influence, liability nor responsibility of the same. Labs are solely responsible for the availability of respective services and their requests raised by You.

 

2.3 This service is only applicable and valid to dental labs and not any other diagnostic or lab.

Any data, images shared to facilitate the same is upon Your own discretion and Denquity is not responsible for the same. Any misuse of the patient data which may accompany with such a situation lies under the responsibility of the doctor/clinician alone.

 

2.4 All payments should be done digitally and is valid only when it is done through the Denquity platform. We strongly discourage making any payment on off-line channels or other third party  platforms unless they are authorized by Denquity.

 

 

 

Denquity Live, Mentoring Terms & Conditions

Welcome to the terms of use for Denquity Live Mentoring and/or mentoring. These terms are between you and Denquity Private Limited (�Denquity�, �we� or �us�). Please read these terms, along with the Privacy Policy, Terms of Use, and all other rules and policies made available or published on the Denquity platform or mobile application (including, but not limited to, any rules or usage provisions specified on any page or on any help or other informational page on Denquity website or mobile application) (collectively, this �Agreement�). The versions of the above-mentioned policies and terms are available on Denquity website and/or mobile application for your reference and to understand how we handle your personal information. Every time you visit, browse, or use your, mentor program, Query/Ask your doubt or question section, you accept this Agreement.

Denquity Live Mentoring, Denquity Live and Denquity Query (the �Mentoring Service�) is a personalized service that offers live mentoring services to Learners/Students with mentors for doubts clearing, treatment strategy, subject mentoring, opinion on a case or for concept clarity. You will be given access to the Mentoring Service, through the Denquity website or Denquity mobile application (as applicable) by making payment  to any category of your choice from the available Mentor plans . Depending on the Discretion of the Mentor you shall be allotted live mentoring and/or mentoring sessions that you can book with the mentors for the above-mentioned services. If you are under 18 years of age, or the age of majority in your location, you may use these Live Mentoring or mentoring Services only with involvement of a parent or guardian.

 

Denquity Mentor

Denquity is just a platform that enables licensed Practitioners, Doctors and graduates to help create courses, make content and create modules for academic purposes and help budding students or doctors to have clarity, learn and grow in the field. Mentor section on the Denquity platform just acts as a platform connecting the students to doctors/practitioners for an exchange of ideas, thoughts and learnings. Denquity urges doctors and the students to maintain a strict teacher-student relationship. Anything on-toward incidents or scenarios occurring from the same between 2 individuals, Denquity holds no responsibility for it. Denquity holds no responsibility over the suggestions, solutions, opinions, methodology of teaching, content etc created or given our by doctors or practitioners to students. Choosing to follow anything on the lines mentioned here will be upon students' own free will.

The doctors or practitioners hold the right to accept, reject, terminate any mentor or course request made by the students. Denquity holds no responsibility for the same.

Live treatment sessions/feature, one-to-one mentoring listed on the Mentor section of the platform is solely for academic and educational purposes. Anything that strays away from the same, Denquity holds no responsibility nor is it liable for the same. The live treatment session and case mentoring is done after a prior information given and explained to the patients before the commencement of the treatment/session. The patient's willingness to co-operate and go ahead with the procedure is considered as a consent on its own for the same.

The certificate course created or delivered on the platform is not recognized by DCI or KSDC and it does not give a person A license nor authority to practice Dentistry without the qualifications prescribed by DCI. The certification courses or any courses listed or provided on the Denquity platform is not affiliated to any University.

It is more of an acknowledgement of completion of a workshop activity or a skill set acquired through the guidance of another Doctor for enhancements of existing skills. The certificate is not validated by any institution nor any country.

 

B. Compatible Devices

In order to avail the Live Mentoring and/or mentoring Service, you will need to use a personal computer, portable media player, or other device that meets the system and compatibility requirements (a �Compatible Device�). The Compatible Devices may change from time to time and, in some cases, whether a device is (or remains) a Compatible Device may depend on software or systems provided or maintained by the device manufacturer or other third parties. Accordingly, devices that are Compatible Devices at one time may cease to be Compatible Devices in the future. Thus, kindly make sure that the device that you use is compatible with our system/software to avail the Live Mentoring and/or mentoring Service.

C. Live Mentoring and/or mentoring Services

The Live Mentoring and/or Mentoring Service allows you to book mentoring sessions with the mentors for doubts clearing, treatment strategy, subject mentoring, opinion on a case or for concept clarity that will help you in your preparation, studies or treatments based on your own discretion. Denquity is not responsible for the content and services provided by the mentors.

Usage Rules: Depending on type of mentoring you shall be allotted a certain number of Live Mentoring and/or mentoring sessions that you book. If due to any reason you have not been able to utilize all your allotted Live Mentoring and/or mentoring Session then the same shall lapse on expiry of the date. 

The following are restrictions on Denquity Live Mentoring:

Live Mentoring and/or Mentoring session: A live mentoring session with the mentor shall be for a period of at the sole discretion of the mentor and Cannot be recorded without the permission from mentor and denquity. You can use the live mentoring session for doubts clearing, strategy and study plan or for concept clarity. The session will be discretion of the mentor  for explaining the concept, doubt or strategy.

Downloading: You shall only have the option to do in-app download, if applicable, and the downloaded live mentoring session can be viewed by you in your compatible devices. After downloading the live mentoring session, you shall have access to the same and all access to the downloaded sessions.

Viewing Period: You can watch and re-watch the live mentoring session later, in-app downloading (if applicable) or streaming it, as often as you want.

Booking of Live Mentoring and/or Mentoring Session: You can book a live mentoring session by selecting the time and date on the booking page. You shall have the option to choose from the mentors with whom you have already attended a live mentoring session or you can let the system auto-assign a mentor for you.

Cancellation of Live Mentoring and/or mentoring Session: If you have booked a session but due to some unforeseeable reason have to cancel the live mentoring session that was booked by you, you can send a cancellation request before 60 mins of the beginning of the session. Any request raised within 60 mins of the start of the session or anytime communicated on the booking page will not be considered and the session shall be considered as availed.

No Show for Live Mentoring and/or mentoring Session: Mentor shall wait for a maximum of 2 minutes after starting the call if you do not show up within the said time, it will be considered as no show on your part and the session shall be considered as availed by you and amount deducted from you for live sessions. However, if the mentor fails to join the session before completion of the session then you can cancel the session and the same shall be credited back into your account and you can rebook a fresh session with the same mentor or with any other mentor, in accordance with the terms of this Agreement.

Re-credit of the session: There shall be no re-credit of the session in case of your last-minute cancellation, no show or any network or any other issue at your end. The sole remedy for cancellation, no-show or technical issues at our end or at the mentor�s end would be crediting the session back to your account. 

Limited License to Live Mentoring and/or Mentoring Sessions: Subject to payment of the Subscription fee or fee for recharge of your live mentoring session, if applicable, and your compliance with all terms of this Agreement, Denquity grants you a non-exclusive, non-transferable, non-sublicensable, limited license, during the term of your Subscription Period, to access and view and book live mentoring sessions in accordance with the terms of this Agreement, for personal, non-commercial, private use only. We may automatically remove your access to the Live Mentoring Service from your Compatible Device after the end of the Subscription Period or in accordance with any restriction mentioned in this Agreement.

Availability of Live Mentoring and/or Mentoring Service: Live Mentoring and/or Mentoring Service will generally continue to be available to you until you completely consume the allotted live mentoring sessions to you during your Subscription Period. You may download and store your own copy of the Live mentoring session on a Compatible Device authorized for such in app download so that you can view that live mentoring session but the access to such in-app downloaded live mentoring session shall be removed on expiry of Subscription Period or termination of your Subscription in accordance with the terms of this Agreement.

Quality of Streaming: The resolution and quality of the live mentoring sessions will depend on a number of factors, including the type of Compatible Device on which you are availing the live mentoring services and your bandwidth. While we strive to provide you a high-quality experience, we make no guarantee as to the resolution or quality of the live mentoring sessions when streaming.

Conduct during Live Mentoring and/or Mentoring session: You shall conduct yourself in a professional and respectful manner. You shall use the Live Mentoring and/or Mentoring services only for the purpose for which it is being provided and your conduct shall be in accordance with all the terms and conditions and policies mentioned on the Denquity Platform, including but not limited to User guidelines, Denquity online terms and conditions. Violation of any of our terms and conditions, policies and guidelines may result in suspense, termination of your account and also, we reserve the right to initiate any action against you that we deem fit.

General Restrictions: You may not (i) transfer, copy or display the live mentoring session, except as permitted in this Agreement; (ii) sell, rent, lease, distribute, or broadcast any right to the live mentoring session; (iii) remove any proprietary notices or labels on the live mentoring sessions; (iv) attempt to disable, bypass, modify, defeat, or otherwise circumvent any digital rights management or other content protection system used as part of the Subscription; or (v) use the Iconic Subscription for any commercial or illegal purpose.

 

D. Additional Terms

Communications: We may send you promotions or otherwise communicate with you electronically, which may include email, push notification, and you hereby consent to receive those communications. These communications will be in accordance with the Denquity Privacy Policy.

Modification of Live Monitoring Services: Denquity reserves the right to modify, suspend, or discontinue the Live Mentoring and/or Mentoring Service, or any part of the Live Mentoring and/or Mentoring Service, at any time and without notice (except as required by applicable law), and Denquity will not be liable to you should it exercise such rights.

Amendments: Denquity reserves the right to make changes to this Agreement at any time by posting the revised terms in connection with the Live Mentoring and/or Mentoring Service. To the maximum extent permitted by law, your continued use of the Live Mentoring and/or mentoring Service following any changes will constitute your acceptance of such changes.

Reservation of Rights; Waiver: The Live Mentoring and/or Mentoring Service embodies intellectual property that is protected by law. Copyright owners of live mentoring service, i.e. mentors, are intended third-party beneficiaries under the Agreement. Our failure to insist upon or enforce your strict compliance with the Agreement will not constitute a waiver of any of our rights.

Disputes/Conditions of Use: Any dispute or claim arising from or relating to this Agreement or the Live Mentoring and/or mentoring Service is subject to the governing law, disclaimer of warranties and limitation of liability, any binding arbitration, and all other terms in the Denquity Terms of Use. You agree to those terms by using the Live Mentoring Service.

Limitation of Liability: Without limiting the disclaimer of warranties and limitation of liability in the Denquity Terms of Use, in no event shall Denquity be liability to you for all damages arising out of or related to your use or inability to use the Live Mentoring and/or Mentoring Service; The limitations in this section will apply to you even if the remedies fail of their essential purpose.

Severability: If any term or condition of this Agreement is deemed invalid, void, or for any reason unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining term or condition.

 

User Guidelines (student)

 

We at Denquity strive to ensure that our Users have a conducive learning and teaching environment, which includes interactions between the Users to allow the flow of knowledge and exchange of ideas.

 

Keeping the interactive nature of the Platform in mind it is essential to ensure that the Platform is not misused in anyway that would warrant any User having a less than amazing experience and following the guidelines we have given below would be a great way to do that. You as a User may come cross content that you feel is inappropriate, and we have provided means by which you can report or flag such content, but do keep in mind that the reporting option should be used judiciously and if you have any doubts, i.e. if the content is inappropriate please go through the guidelines to make an informed decision.

 

Additionally, these guidelines are to be read along with all the other policies on the Denquity platform including but not limited to our Terms and Conditions and Privacy Policy.

 

 

1. Guidelines for acts and content that are prohibited

Harmful or dangerous content: We at Denquity believe the Platform is a safe space for learners and educators alike and would like your help in ensuring that it remains so. Keeping this in mind any content which incites or promotes violence that may cause physical or emotional harm or endanger the safety of any individual is expressly prohibited on the Platform. Content that requires references to harmful or dangerous acts solely for educational purposes are allowed. The sale and promotion of any regulated or illegal goods is not allowed. The Platform is to be used only for the permitted uses as detailed under the Terms and Conditions.

 

Hateful content: We realize that there may be instances when there are exchange of ideas and opinions which is essential in the learning process, while we agree that individuals have the right to voice their opinion, we do not encourage or tolerate any hate speech. Hate speech is any content where the sole objective is inciting hatred against specific individuals or groups with respect to but not limited to race or ethnic origin, country caste, religion, disability, gender, age, sexual orientation/gender identity etc.

Violent and graphic content: Denquity is an aggregator Platform and the content uploaded is restricted to educational content alone, content that is violent or graphic is prohibited. You are requested to ensure that if there are references being made to violent or graphic situations of instances, it should solely be for education purposes. Content whose sole objective is to sensationalize, shock or disturb individuals is not allowed. Denquity does not allow any content related to terrorism, such as content that promotes terrorist acts or incites violence, is not to be uploaded on the Platform in any manner.

 

Harassment and bullying: Denquity Platform is used by many users on a daily basis and it is important to be respectful and kind to your fellow users, we do not tolerate any form of harassment or bullying on the Platform and strive to keep the Platform a safe space to foster learning. Harassment in this case would include but not be limited to abusive videos, comments, messages, revealing someone�s personal information, including sensitive personally identifiable information of individuals, content or comments uploaded in order to humiliate someone, sexual harassment or sexual bullying in any form.

 

Spam: Posting untargeted, unwanted and repetitive content in lessons, comments of messages with an intention to spam the Platform and to drive traffic from the Platform to other third-party sites is in direct violation of our Terms and Conditions. Posting links to external websites with malware and other prohibited sites is not allowed. The use or launch of any automated system in any manner that sends more request messages to Denquity�s servers in a given period of time that is more than a human can reasonably produce using a conventional on-line web browser is prohibited and you can take a look at our Terms and Conditions for more details on the same including exceptions to this prohibition to public search engines.

 

Misleading metadata: Misuse of title, description, tags, thumbnail and bios and other features which constitutes the Metadata on the Platform is not allowed. Using these features to trick or circumvent our search algorithms is prohibited

 

Scams: Any content uploaded/posted in order to trick others for their own financial gain is not allowed and we at Denquity do not tolerate any practices of extortion or blackmail either.

 

Copyright: Please refer to our copyright policy provided in our Terms and Conditions to know more about proprietary information relating to User Content and Denquity Content.

Privacy violation: Kindly refer to our Privacy Policy given here to know how to protect your privacy and respect the privacy of other users. If you believe that your privacy has been violated is any manner where a user has knowingly or unknowingly disclosed any information on the Platform be sure to reach out to the User and if that is not possible, please feel free to approach us at anytime so we can take the necessary steps to remove the content.

 

Impersonation: Impersonating another person is not permitted while using the Denquity Platform. In this case impersonation would mean the intention to cause confusion regarding who the real person is by pretending to be them. This can be done by means of using names, image, documents, certificates etc. not belonging to you or not used to identify you. Pretending to be a company, institute, group etc.by using their logo, brand name or any distinguishing mark would also amount to impersonation and could also be a potential trademark infringement.

 

Interaction with Denquity: At Denquity offices we treat each other with respect and have a healthy and supportive work environment. We believe in hands on interaction with our users to help them navigate and gain the maximum benefit from the platform. Should you find yourselves interacting with any person from Denquity please ensure that you maintain the same decorum you would while using this Platform. We do not encourage any communication with Denquity employee of staff that is hateful, abusive or sexually suggestive in any manner.

 

2. Reporting tools

We have reporting tools available on the platform where you can report any content that you believe falls under the ambit of any of the prohibited acts, violative of any intellectual property rights or spam. The report option is made available for the videos as well as the comments, please ensure that you are certain that there is an issue before you report and do not make false complaints or allegations. You can write to us at info@denquity.com for any additional support, but to ensure that the Platform remains a safe learning space we suggest you use the in-built reporting tools made available.

 

Tips on Do�s & Don�ts: Here are a few tips from us on how to use the platform in a safe manner:

 

A. Keeping yourself and your account safe

Keep your log-in credentials a secret and do not reveal your password or ID to anyone.

 

Create a strong password to ensure that your account is not compromised, here are some tips to ensure that your password is strong:

Your password should be at least eight characters in length, combine numbers and letters, and not include commonly used words.

Select a word or acronym and insert numbers between some of the letters.

Include Special characters.

Mix capital and lowercase letters.

Don't reuse passwords associated with any other type of account.

Log out of all devices to ensure that your log-in credentials are secure.

Register with our phone number in order to ensure you have a back-up in case you forget your login details.

Do not reveal any personal information about yourself to anyone online, additionally do not meet someone you have a conversation with online in person, this could be a potentially dangerous act and you might be compromising your safety.

If you are below the age of 18, and want to use the platform, a parent or guardian can create an account on your behalf. Persons below the age of 18 are not allowed to have individual account without the consent of a parent or guardian.

 

B. Reporting Content

If you have content on your profile or video that would confuse persons as to who the video or content belongs to or leads users to believe that you have been endorsed or sponsored by another person, then the trademark of such person might have been infringed. If we receive any complaints or reports regarding the same, we may remove the content, if supported with relevant evidence.

If you are a trademark or copyright owner and believe that your intellectual property right is being infringed, please note that you have the option of reporting the same. However, Denquity is not at a position where they can mediate such disputes and we disclaim any liability for the same. If we receive an infringement complaint that is genuine, we may remove the content in question and serve a warning to the alleged infringer. We also suggest that before reporting the issue, both parties try to solve the disputes directly with the user who posted the content.

If you see any content that you feel is inappropriate and violates the guidelines given here, please report the content.

If you encounter a video that you believe violates the privacy of an individual or violates your privacy, please report the same, we shall initiate action accordingly as we have a strict privacy policy. If you report any content for violation of privacy, the content will be removed only if the information, images or date is clearly identifiable.

In the event a fellow user harasses you or you believe that someone is being harassed on the platform you can report the user or content. You may even write to us at  info@denquity.com for any further help or assistance.

 

C. Posting Content

When posting videos or lessons on the platform always ensure that the information is correct, the content itself does not belong to a third party and that it is free from any of the prohibited acts in these guidelines.

Always ensure that the personal information of a person or even your own personally identifiable information is not disclosed while posting any content on the platform, this would be in violation of our Privacy Policy.

You will be personally held responsible for your actions on the Platform, thus please ensure that any content that you post including comments does not hurt the sentiments of any group or individual and cannot be construed as being harassment or bullying.

 

19. Denquity Query and Community Section (students)

 

The Query and the Community section on the Denquity platform is specifically and only for the use of Dental students, graduates and Doctors. The term "Users" here forth refers to doctors, clinicians and dental/medical students only. The platform only serves as a place to discuss ideas, exchange knowledge, debate and analyse trends, new innovations and topics related to dentistry and it's advancement. The content discussed or exchanged on this platform are solely for educational purposes and does not serve as an advisory/treatment regimen or plan or any of the sorts. It's a platform just for exchange of thoughts.In case any unforeseen or untoward instances happen in relation to the treatments planned or based on the ideas exchanged on the platform. Denquity Private Limited shall not be liable or responsible for the same. 

 

Terms for Practitioners: Every Practitioner on the Query and Community Platform must be qualified in the area of expertise that he represents as being his qualification. The Query and Community is a platform for exchange of information which is of general nature in a question and answer format. 

 

The Query and community Platform is not for emergency situations. Any Query and Community interaction cannot be construed as a Dental consultation with the Practitioner, in any manner whatsoever. Denquity Users may post on medical and dental issues and ask queries (�Querist�), and these queries can be answered by multiple Practitioners on the Query and Community Platform. It is expressly clarified that no doctor-doctor, doctor - student relationship is established between the Querist and Practitioner, in any manner whatsoever, by indulging in this query or community section. The denquity user may provide probable views, recommendations, suggestions and solutions to the question posted by a Querist. However, it is expressly clarified that any such view, recommendation, suggestion and solution shall not be construed as medical advice. The person in question (being Querist or not) is advised to consult with a doctor in this regard. Practitioner shall not share their personal, religious and/or moral views with the Querist while issuing their response. The Practitioner cannot issue and/or prescribe any medicines on the Query and Community platform. It is a platform for only exchange of information and not a consultation/ dental advice.

 

The Practitioner on the community platform is absolutely and expressly prohibited to: Provide a medical diagnosis; Issue a prescription;Post any response which comprises of any derogatory language, objectionable, pornographic and /or offensive content; Advertise any brand of drugs, supplements, vaccines and medications, in any manner of whatsoever; Advertise to/solicit patients in any manner including without limitation by way of using social media handles, including without limitation, facebook, twitter etc., telephone/ mobile numbers, youtube, and address: Promote content and activities which are illegal in nature;

 

Intellectual Property - Making sure you have the rights to post the content you share. Appropriate Imagery - We don’t allow nudity on the community section of denquity , with some exceptions, like photos of post-mastectomy scarring and women actively breastfeeding. Nudity in photos of paintings and sculptures is OK, too. Spam - This is not allowed on Denquity Community (creating or submitting unwanted email, comments, likes or other forms of commercial or harassing communications). Illegal Content - We don’t allow support or praise of terrorism, organized crime or hate groups on Denquity. Offering sexual services and selling firearms and drugs are also prohibited. Hate Speech, Bullying and Abuse - We remove credible threats of violence, hate speech and the targeting of private individuals. We do not allow attacks or abuse based on race, ethnicity, national origin, sex, gender, gender identity, sexual orientation, religion, disability or disease. Self Injury - We do not allow glorification or encouragement of self-injury, including eating disorders. We do allow content that references self-injury and eating disorders if it is for the purpose of creating awareness or signposting support. Graphic Violence - Graphic violence is not allowed and we may remove videos or images of intense, graphic violence to make sure that Instagram stays appropriate for everyone. If shared in relation to important and newsworthy events, and this imagery is shared to condemn or raise awareness and educate, it may be allowed.

 

In the event of any breach of these Community And Query T&C, Denquity will take appropriate action inter alia ranging from issuing warnings to removal of Practitioner from the Query and Community Platform, in its sole and absolute discretion, on a case to case basis. Any liability arising out of the response issued by a Practitioner will be borne solely by the Practitioner. Query and Community Platform is only a platform interface provided by Denquity for sharing and exchanging information purposes.

 

The Query and Community Platform shall be audited on a regular basis by Denquity for ascertaining compliance by the Practitioner to Paragraph 6, and the Practitioners consent to the same.  It is clarified that the said audit is not conducted for the purpose of quality check or validation of responses issued by Practitioner. All general Denquity Terms and Conditions shall govern the Query and Community to the extent applicable. Decision of Denquity is final and binding on the issues arising under the Query and Community and Denquity Terms and Conditions.

 

Query and Community Platform is a public forum for dentists and students for exchange of information, hence, any question posted by a querist is visible publicly. It is advisable for a User to ensure that no confidential information is published by them on the Query and Community Platform. User shall not use the Query And Community Platform for emergency situations. The User is prohibited to post any query/issue on the Query and Community Platform, which comprises of any derogatory language, objectionable, pornographic and /or offensive content; Any response provided by the Practitioner shall not be construed as medical/dental advice on the Query and Community Platform. Query and Community Platform is a platform for exchange of information which is of general nature in a question and answer format. This cannot be construed as a medical consultation with the Practitioner, in any manner whatsoever. It is expressly clarified that no doctor-doctor, doctor - student relationship is established between the user and Practitioner, in any manner whatsoever, by indulging in this Query and Community. The Practitioner may provide probable views, recommendations, suggestions and solutions to the question posted. However, it is expressly clarified that any such views, recommendations, suggestions and solutions shall not be construed as medical/dental advice. The person in question (being Querist or not) is advised to consult with a doctor in this regard.

 

All general Denquity Terms and Conditions shall govern the Query and Community section to the extent applicable. Decision of Denquity is final and binding on the issues arising under the Query and Community section and Denquity Terms and Conditions. Denquity shall have the right to edit or remove the Content and any comments in such manner as it may deem at any time.

 

Practitioner/student/user shall ensure that the Content or any further responses to the Content (including responses to Users) is not harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic or libelous in any manner. Further, User should ensure that the Content is not invasive of any other person�s privacy, or otherwise contains any elements that is hateful, racially or ethnically objectionable, disparaging, or otherwise unlawful in any manner whatever. Denquity reserves the right to remove any Content which it may determine at its own discretion is violative of these Terms and Conditions or any law or statute in force at the time. Also, the User agrees to absolve Denquity from and indemnify Denquity against all claims that may arise as a result of any legal claim arising from the nature of the Content posted by the Practitioner.

 

User shall ensure that the User Comment is not harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic or libelous in any manner. Further, User should ensure that the User Comment is not invasive of any other person�s privacy, or otherwise contains any elements that are hateful, racially or ethnically objectionable, disparaging, or otherwise unlawful in any manner whatsoever. DENQUITY reserves the right to remove any Content which it may determine at its own discretion is violative of these Terms and Conditions or any law or statute in force at the time Also, the User agrees to absolve Denquity from and indemnify Denquity against all claims that may arise as a result of any legal claim arising from the nature of the User Comment.

 

Emergency -  

 

The emergency section on the Denquity platform is purely for cases and situations of "Emergency". It is aimed at contacting the Emergency Doctor and/or ambulance service listed directly. Choosing to use this section is upon the treating students, Doctor's or clinicians' judgment, discretion and assessment. This section is supposed to be used only in cases of absolute emergencies or in situations that are beyond the control or purview of the doctor/student.

Services - 

Services feature on The Denquity platform is a third party aggregation platform where a list of Dealers dental services personnel, equipment repairs, hand instruments repairs so on and so forth who are enrolled on the platform can be accessed by the doctors, clinicians and students as per need. The charges, pricing, and quality of work is all independent of Denquity and Denquity is not responsible for any of it. Accessing this section or using the services provided by the people listed is upon the doctor's, clinician's and students' own free will, risk and onto their best of knowledge.

We at Denquity urge and insist doctors, clinicians, personnel, student and other people involved in the process of usage of the services of the platform and the delivery of the treatment to follow the Guidelines specifically given out by recognized bodies under the Indian government namely, DCI, WHO, MOHFW and other respective State recognized Bodies (example: KSDC, Karnataka),We urge the people involved in the usage of the platform to go through the Guidelines section of the platform everyday and to keep themselves updated regarding the guidelines, changes and updates issued by the same to follow them regularly in their daily practice. Failure to do so, or any issues/situations due to the same accounts to negligence of the student, Doctor, practitioner or a clinician and the entire responsibility for the same lies upon them.

Denquity holds no responsibility nor is liable for any issues arising regarding this.

 

Denquity Collaborate:

Denquity is just a listing platform and serves as a medium to help connect students with each other and also the Doctors, clinicians or practitioners who use the Collaborate feature on the Denquity platform hereby agree that they connect, collaborate and communicate based on their own Judgement, analysis and free will.

All responsibility and liability regarding treatment costs, materials involved, behaviour of individuals, sharing of data, misuse of patient details and data etc lies upon the individuals/doctors involved in the same and Denquity bears no responsibility for it. All of the price listing, charges, and costs involved in this segment of the platform is completely upon the doctor's own decision and Denquity plays no role in the same. Denquity is entitled to collect convenience fee and charges for the usage of the feature by the doctors/practitioners. We at Denquity strongly urge and insist that payments involved during the process of the Collaborate feature should go through Denquity's digital payment portal. Any transaction made outside of it and issues arising from the same - Denquity does not hold any responsibility not is it liable for the same.

 

Supply:

You acknowledge and undertake that you are wholly responsible for your decision to buy any product/products after your own analysis, judgement and thereafter transaction done by you on this website. Denquity.com website/app takes no responsibility for the usage, implementation and result/outcome of the products. It is entirely the buyer�s/user�s responsibility to choose and decide the right product.

If any product is found unavailable after receiving the order, the customer will be notified of the order cancellation via email and payment will be refunded to the same account of the account holder from which payment was made. TERMINATION 

Denquity reserves the right to suspend or terminate a User�s access to the Website and the Services with or without notice and to exercise any other remedy available under law, in cases where, Such User breaches any terms and conditions of the Agreement; A third party reports violation of any of its right as a result of your use of the Services; Denquity is unable to verify or authenticate any information provide to Denquity by a User; Denquity has reasonable grounds for suspecting any illegal, fraudulent or abusive activity on part of such User; or Denquity believes in its sole discretion that User�s actions may cause legal liability for such User, other Users or for Denquity or are contrary to the interests of the Website. Once temporarily suspended, indefinitely suspended or terminated, the User may not continue to use the Website under the same account, a different account or re-register under a new account. On termination of an account due to the reasons mentioned herein, such User shall no longer have access to data, messages, files and other material kept on the Website by such User. The User shall ensure that he/she/it has continuous backup of any medical services the User has rendered in order to comply with the User�s record keeping process and practices. 

 

LIMITATION OF LIABILITY

In no event, including but not limited to negligence, shall Denquity. or any of its directors, officers, employees, agents or content or service providers (collectively, the �Protected Entities�) be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to, the use of, or the inability to use, the Website or the content, materials and functions related thereto, the Services, User�s provision of information via the Website, lost business or lost End-Users, even if such Protected Entity has been advised of the possibility of such damages. In no event shall the Protected Entities be liable for: provision of or failure to provide all or any service by Practitioners to End- Users contacted or managed through the Website; any content posted, transmitted, exchanged or received by or on behalf of any User or other person on or through the Website; any unauthorized access to or alteration of your transmissions or data; or any other matter relating to the Website or the Service. In no event shall the total aggregate liability of the Protected Entities to a User for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from this Agreement or a User�s use of the Website or the Services exceed, in the aggregate Rs. 1000/- (Rupees One Thousand Only).

 

SEVERABILITY

If any provision of the Agreement is held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event, the Agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitral tribunal.

 

WAIVER

No provision of this Agreement shall be deemed to be waived and no breach excused, unless such waiver or consent shall be in writing and signed by Denquity. Any consent by Denquity to, or a waiver by Denquity of any breach by you, whether expressed or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

 

Users are also prohibited from: 

violating or attempting to violate the integrity or security of the Website or any Denquity Content;transmitting any information (including job posts, messages and hyperlinks) on or through the Website that is disruptive or competitive to the provision of Services by Denquity; intentionally submitting on the Website any incomplete, false or inaccurate information; making any unsolicited communications to other Users; using any engine, software, tool, agent or other device or mechanism (such as spiders, robots, avatars or intelligent agents) to navigate or search the Website; attempting to decipher, decompile, disassemble or reverse engineer any part of the Website; copying or duplicating in any manner any of the Denquity Content or other information available from the Website; framing or hot linking or deep linking any Denquity Content. circumventing or disabling any digital rights management, usage rules, or other security features of the Software. 

Denquity, upon obtaining knowledge by itself or been brought to actual knowledge by an affected person in writing or through email signed with electronic signature about any such information as mentioned above, shall be entitled to disable such information that is in contravention, Denquity shall also be entitled to preserve such information and associated records for at least 90 (ninety) days for production to governmental authorities for investigation purposes.

In case of non-compliance with any applicable laws, rules or regulations, or the Agreement (including the Privacy Policy) by a User, Denquity has the right to immediately terminate the access or usage rights of the User to the Website and Services and to remove non-compliant information from the Website.

 

Denquity may disclose or transfer User-generated information to its affiliates or governmental authorities in such manner as permitted or required by applicable law, and you hereby consent to such transfer. The SPI Rules only permit Denquity to transfer sensitive personal data or information including any information, to any other body corporate or a person in India, or located in any other country, that ensures the same level of data protection that is adhered to by Denquity as provided for under the SPI Rules, only if such transfer is necessary for the performance of the lawful contract between Denquity or any person on its behalf and the User or where the User has consented to data transfer. Denquity respects the intellectual property rights of others and we do not hold any responsibility for any violations of any intellectual property rights

 

Denquity Platform Rules.

 

Rules. You must follow these rules and must not help or induce others to break or circumvent these rules. Act with integrity and treat others with respect Do not lie, misrepresent something or someone, or pretend to be someone else. Be polite and respectful when you communicate or interact with others. Follow our Nondiscrimination Policy and do not discriminate against or harass others. Do not scrape, hack, reverse engineer, compromise or impair the Denquity Platform. Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Denquity Platform.

Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Denquity Platform or Content. Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the Denquity Platform. Do not take any action that could damage or adversely affect the performance or proper functioning of the Denquity Platform. Only use the Denquity Platform as authorized by these Terms or another agreement with us You may only use another Member�s personal information as necessary to facilitate a transaction using the Denquity Platform as authorized by these Terms. Do not use the Denquity Platform, our messaging tools, or Members� personal information to send commercial messages and promotional without the recipient�s express consent. You may use Content made available through the Denquity Platform solely as necessary to enable your use of the Denquity Platform as a Student. Do not use Content unless you have permission from the Content owner or the use is authorized by us in these Terms or another agreement you have with us.

 

Do not require or encourage Doctors to open an account, leave a review, complete a survey, or otherwise interact, with a third party website, application or service before, during or after a reservation, unless authorized by Denquity. Do not engage in any practices that are intended to manipulate our search algorithm .Do not book Host Services unless you are actually using the Host Services. Do not use, copy, display, mirror or frame the Denquity Platform, any Content, any denquity branding, or any page layout or design without our consent.

Honor your legal obligations Understand and follow the laws that apply to you, including privacy, data protection, and export laws. If you provide us with someone else�s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy.

Do not organize or facilitate unauthorized parties or events. You are responsible and liable for any party or event during your reservation that violates , as incorporated by reference herein.

 

Do not use the name, logo, branding, or trademarks of Denquity or others without permission.

 

Do not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that may be confused with Denquity branding.

Do not offer or solicit prostitution or participate in or facilitate human trafficking or dating or any other kind of relationship expect what is required as a doctor.

 

General Terms

Reviews.

After each Host Service, Doctors and Hosts will have an opportunity to review each other. Your Review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Content Policy or Review Policy. Reviews are not verified by Denquity for accuracy and may be incorrect or misleading.

 

Content.

Parts of the Denquity Platform enable you to provide feedback, text, photos, audio, video, information, and other content (collectively, �Content�). By providing Content, in whatever form and through whatever means, you grant Denquity a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. Denquity may own that Content, in which case supplemental terms or disclosures will say that. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant Denquity the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Content Policy and Nondiscrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. You agree that Denquity may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Denquity does not guarantee the accuracy or quality of translations and Members are responsible for confirming the accuracy of such translations.

 

Payment - 

 

We at Denquity strongly recommend that all payments of and for any of the services across the platform be done through the integrated payment gateway available on the platform and not anywhere else. If any payment is done using any other method or a different gateway, Denquity is not responsible for the transaction nor any other issues that may arise with the same. Doing so will disqualify the patient/user, Doctor, clinician, student, lab technician etc for the perks and advantages that maybe available or provided by Denquity for its users on the platform.

 

 Payment settlements for all the entities involved on the platform will be done within and around 7 working days post the delivery of the work and the successful completion of the treatment at the user/patient's end. The payment settlement system will mostly be automated and in some cases - may be done manually as well. Denquity does not hold responsibility nor any liability for any of the transactions done outside of its platform or the payment gateway.

 

Denquity is not responsible for any hack, leak or misuse of the payment data or the data of the personnel involved for the same.

 

Any issues or transactions involving debit/credit cards, swiping machines, POS machines etc at the student, doctor's, clinician's or the lab's end is upon the sole discretion of the respective individual involved and does not fall under the purview of Denquity.  Denquity is not responsible for any issues arising in-case there is an unknown entity/element or a third party involved in the same. We strongly discourage any offline transactions.

 

3.4 Denquity is not responsible for the pricing for a particular service, course, certification etc available on the platform and the sole responsibility for the same lies under the discretion of the doctor, clinician, clinic, service or the lab personnel involved. Even for lab orders it is the discretion of the lab.

 

4. Collaborate is just a feature of the Denquity platform connecting students to other students and peers, for easier management, communication and better functioning.

 

4.1 Denquity is not liable nor responsible for any issues arising with the same nor with any misuse of the data that is being shared during the same. The sole responsibility lies with the student, labs, clinics, doctors or clinicians involved in usage of this feature of the platform. Sharing of accounts, sharing of passwords, identity, impersonation etc should not be done for whatsoever reason. Doing so will cause a termination of the account on the Denquity platform. Denquity is not liable nor responsible for Any issues, situations rising from the same.

 

4.2 We are not responsible for any misuse, leak, errors, wrong diagnosis, terminologies so on and so forth caused due to negligence or lack of understanding from the doctor's end, clinician's end nor the collaboration end between the same.

 

4.3 We at Denquity respect the privacy of the patient and expect the same from the student, doctor, clinicians and lab end. We are not responsible nor liable for the privacy of the patient details, data and treatment regimens nor diagnosis. All the x-rays, in-op images, pre and post treatment images, addresses etc uploaded on the platform will be safe and bound by user privacy policy as long as it remains on and within the platform. Anything that is shared, delegated to other entities, people or platforms. Denquity is not responsible for the same. We strongly urge you not to do the same. In case, such a scenario does occur - the sole responsibility goes with the one who is sharing the information i.e. the student, doctor, clinician or any other member involved.

 

Denquity is not responsible nor liable for the diagnosis, treatment protocol determined, treatments given nor the outcome, post-operative complications nor side-effects of the same. The entire responsibility and liability lies upon the student/doctor/clinician who is treating and the procedure done will be upon their own discretion and judgment and also the free will of the patient.

 

The assistant feature/section of this service entirely depends on the availability, need and location. Denquity is not responsible for any misbehavior, errors or damages caused due to the ignorance of the assistant. By agreeing to use this service, students, clinics, doctors and clinicians are signing up for the entire responsibility of their clinics, materials and equipments involved during the utilization of the service.

1.1 We at Denquity recommend that all patient data, details and findings be recorded on the Case history sheet and services available on the platform. 

Any data and details of the patients, users and doctors recorded anywhere else and outside the platform does not fall under the scrutiny, responsibility not liability with respect to Denquity private limited. Denquity is just a platform which aids in ease of management of your schedules, appointments, track your patients, have their case sheets digitally etc.

We are not responsible for any misuse, leak, errors, wrong diagnosis, terminologies so on and so forth caused due to negligence or lack of understanding from the doctor's end, clinician's end nor the collaboration end between the same.

 

1.2 Denquity is not responsible for any delay in appointments, missed appointments, wrong schedules, clubbed appointments or lack of provision of treatment at the patient's end or the doctor's end.

We serve merely as a platform and an aid to assist with your regular management of patients, appointments and schedules.

 

1.3 We at Denquity are not responsible for the privacy of the patient details, data and treatment regimens nor diagnosis. All the x-rays, in-op images, pre and post treatment images, addresses etc uploaded on the platform will be safe and bound by user privacy policy as long as it remains on and within the platform. 1.5 Denquity as a platform offers you (the doctor or the clinician) an integrated digital prescription which can be used for writing digital prescriptions for your patients authorized and signed digital by the prescribing or the treating doctor only.

Denquity is not responsible for the prescription, dose nor the drugs prescribed.

The digital signature used to validate the prescription will be the doctor's only and the same will be valid and used only for the prescriptions made on the platform.

The misuse or overuse of the same anywhere outside the platform does not fall under the responsibility nor liability of Denquity.

 

1.6 Denquity may use the prescription data and/or the patient data involved and may share the same with an authorized third party app/service chain for Integrated delivery of drugs or the prescribed medications to the patient. However, Denquity is not responsible for any delays, wrong delivery, availability nor any of such scenarios that may arise while using the third party vendor/platform.

 

1.7 We strongly recommend the doctors or the clinicians to only prescribe the drugs authorized by the Pharmaceutical, medical boards and ministries of India and available legally in India only.

All the medications prescribed will be at the responsibility and liability of the doctors and/or clinicians respectively - Denquity does not hold liability for the same.

The prescription can only be used once and cannot be used nor valid for subsequent medications unless authorized by the treating doctor.

Any overdose, misuse or overuse of the same for OTC (over-the-counter) medications is not valid and Denquity is not responsible in case such a thing does happen.

 

2.Lab - Denquity offers unique Platform to request lab, tract lab order and get information about the lab.

 

2.1 The lab section available on the Denquity platform or the website is a third party collaboration and Denquity does not hold any responsibility for using the services of the same.

The doctor/clinic/clinician (You, Your etc.) may use the service upon his or her own research and knowledge.

 

2.2 All the orders generated while using the services are created online and the data generated will be the responsibility of You alone. The order follow up, quality of work, acceptance/rejection of the same from the lab's end, tracking and progress of the work, delivery or any delays involved etc are all upto and upon the lab's own discretion and Denquity has no influence, liability nor responsibility of the same. Labs are solely responsible for the availability of respective services and their requests raised by You.

 

2.3 This service is only applicable and valid to dental labs and not any other diagnostic or lab.

Any data, images shared to facilitate the same is upon Your own discretion and Denquity is not responsible for the same. Any misuse of the patient data which may accompany with such a situation lies under the responsibility of the doctor/clinician alone.

 

2.4 All payments should be done digitally and is valid only when it is done through the Denquity platform. We strongly discourage making any payment on off-line channels or other third party  platforms unless they are authorized by Denquity.

 

3.Payment - 

 

3.1 We at Denquity strongly recommend that all payments of and for any of the services across the platform be done through the integrated payment gateway and not anywhere else. If any payment is done using any other method or a different gateway, Denquity is not responsible for the transaction nor any other issues that may arise with the same. Doing so will disqualify the patient/user, Doctor, clinician, lab technician etc for the perks and advantages that maybe available or provided by Denquity for its users on the platform.

 

3.2 Payment settlements for all the entities involved on the platform will be done within and around 7 working days post the delivery of the work and the successful completion of the treatment at the user/patient's end. The payment settlement system will mostly be automated and in some cases - may be done manually as well. Denquity does not hold responsibility nor any liability for any of the transactions done outside of its platform or the payment gateway.

Denquity is not responsible for any hack, leak or misuse of the payment data or the data of the personnel involved for the same.

 

3.3 Any issues or transactions involving debit/credit cards, swiping machines, POS machines etc at the doctor's, clinician's or the lab's end is upon the sole discretion of the respective individual involved and does not fall under the purview of Denquity. In-case there is an offline transaction, on the lines of our Off-line payment policy of Denquity, The collection of the same should be done only through the authorized and assigned personnel of Denquity and nobody else. Denquity is not responsible for any issues arising in-case there is an unknown entity/element or a third party involved in the same. We strongly discourage any offline transactions.

 

3.4 Denquity is not responsible for the pricing for a particular service/treatment available on the platform especially under the "Host" category and the sole responsibility for the same lies under the discretion of the doctor, clinician, clinic or the lab personnel involved. Even for lab orders it is the discretion of the lab.

 

4 Collaborate is just a feature of the Denquity platform connecting clinics to doctors, other clinics and assistants for easier management, communication and better functioning.

 

4.1 Denquity is not liable nor responsible for any issues arising with the same nor with any misuse of the data that is being shared during the same. The sole responsibility lies with the clinics, doctors or clinicians involved in usage of this feature of the platform.

 

4.2 We are not responsible for any misuse, leak, errors, wrong diagnosis, terminologies so on and so forth caused due to negligence or lack of understanding from the doctor's end, clinician's end nor the collaboration end between the same.

 

4.3 We at Denquity are not responsible for the privacy of the patient details, data and treatment regimens nor diagnosis. All the x-rays, in-op images, pre and post treatment images, addresses etc uploaded on the platform will be safe and bound by user privacy policy as long as it remains on and within the platform. Anything that is shared, delegated to other entities, people or platforms. Denquity is not responsible for the same. We strongly urge you not to do the same. In case, such a scenario does occur - the sole responsibility goes with the one who is sharing the information i.e. the doctor, clinician or any other member involved.

 

4.4 Denquity is not responsible for the diagnosis, treatment protocol determined, treatments given nor the outcome, post-operative complications nor side-effects of the same.

The entire responsibility and liability lies upon the doctor/clinician who is treating and the procedure done will be upon their own discretion and judgment.

 

4.5 The assistant feature/section of this service entirely depends on the availability, need and location. Denquity is not responsible for any misbehavior, errors or damages caused due to the ignorance of the assistant. By agreeing to use this service, clinics, doctors and clinicians are signing up for the entire responsibility of their clinics, materials and equipments involved during the utilization of the service.

 

5. Hosting on Denquity

5.1 Host. As a Host, Denquity offers you the opportunity to share your Clinic with our vibrant community of Doctors - and earn money doing it. It�s easy to create a Listing and you are in control of how you host - set your price, availability, and rules for each Listing.

5.2 Contracting with Doctors. When you accept a booking request, or receive a booking confirmation through the Denquity Platform, you are entering into a contract directly with the Doctor who is going to use the service and you are responsible for delivering your Host Service under the terms and at the price specified in your Listing. You are also agreeing to pay applicable fees like Denquity�s service fee, convenience fee (and applicable taxes) for each booking. Denquity Payments will deduct amounts you owe from your payout unless we and you agree to a different method. Any terms, policies or conditions that you include in any supplemental contract with doctors must: (i) be consistent with these Terms, our Policies, and the information provided in your Listing, and (ii) be prominently disclosed in your Listing description.

5.3 Independence of Hosts. Your relationship with Denquity is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of Denquity, except that Denquity Payments acts as a payment collection agent as described in the Payments Terms. Denquity does not direct or control your Host Service, and you agree that you have complete discretion whether and when to provide Host Services, and at what price and on what terms to offer them.

5.4 Denquity is just a platform for connecting the doctors who rent the clinics as per requirement and the hosts who list their clinics at their own convenience. Denquity is in no way responsible for any loss, misuse, damage or theft of any existing inventory of materials, dental equipments and instruments of the host clinic or the hosts. Denquity is not responsible nor liable for any mishaps pre-treatment, during and post treatment of procedures. Denquity is not responsible nor liable for the treatment outcomes, complications - during and post-operative procedures, behaviour of the doctors and the patients, Utility bills etc. If there arises a situation where in any of the above-mentioned criteria and associated situations, Denquity is not responsible for the outcome or the settlement for the same. The course of action and the settlement details and methods are left completely and solely at the discretion of the 2 active parties i.e. The host and the Doctor who is utilising the services.

5.5 Inventory:

Inventory management and subscription is a feature of the clinic section made available by Denquity Pvt. Ltd in accordance and as a collaborative feature with third party suppliers and vendors. The making of the list, management of its contents, need and subscription responsibilities lie entire with the doctor or the clinician's end and Denquity is not responsible for any issues arising from the same. Denquity is not responsible for any delay, or missed delivery of the items, Quality of the delivered products, expiry and manufacturing dates, brands and damages of the items delivered in reference to the inventory list as the sole responsibility lies upon the suppliers or vendors based on the availability, pricing, demand and supply of the same in the market.

6. Managing Your Listing.

6.1 Creating and Managing Your Listing. The Denquity Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your Host Service, your price, other charges and any rules or requirements that apply to your doctors. You are responsible for keeping your Listing information (including calendar availability) and content (like photos) up-to-date and accurate at all times. We recommend that you obtain appropriate insurance for your Host Services and carefully review policy terms and conditions including coverage details and exclusions. You may only maintain one Listing.

6.2 Know Your Legal Obligations. You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Host Services. For example: some have laws that create additional obligations for Doctors. For example, some places have landlord-tenant, rent control, and eviction laws that may apply. Check your local rules to learn what rules apply to the Host Services you plan to offer. Information we provide regarding legal requirements is for informational purposes only and you should independently confirm your obligations. You are responsible for handling and using personal data of Doctors and others in compliance with applicable privacy laws and these Terms, including our Host Privacy Standards. If you have questions about how local laws apply you should always seek legal advice.

6.3 Search Ranking. The ranking of Listings in search results on the Denquity Platform depends on a variety of factors, including these main parameters:

Doctor search parameters (e.g., number of Chairs, time and duration of the treatment, price range, availability of additional equipments like digital x-ray etc),

Listing characteristics (e.g., price, calendar availability, number and quality of images, Reviews, type of Service, status, age of the Listing, average Doctor popularity),

Doctor booking experience (e.g., customer service and cancellation history of the Host, ease of booking),

Host requirements (e.g., minimum or maximum Time, booking cut-off time), and

Doctor preferences (e.g., previous trips, saved Listings, location from where the Guest is searching).

Search results may appear different on our mobile application than they appear on our website. Denquity may allow Hosts to promote their Listings in search or elsewhere on the Denquity Platform by paying an additional fee. More information about the factors that determine how your Listing appears in search results, 

6.4 Your Responsibilities. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Host Services. You are responsible for setting your price and establishing rules and requirements for your Listing. You must describe any and all fees and charges in your Listing description and may not collect any additional fees or charges outside the Denquity Platform. Do not encourage Doctors to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Denquity Platform in violation of our Platform Policy.

6.5 Your Assumption of Risk. You acknowledge that hosting carries inherent risks and agree that you assume the entire risk arising out of your access to and use of the Denquity Platform, offering Host Services, or any interaction you have with other Members whether in person or online. You agree that you have had the opportunity to investigate the Denquity Platform and any laws, rules, regulations, or obligations that may be applicable to your Listings or Host Services and that you are not relying upon any statement of law made by Denquity.

7. Cancellations and Booking Modifications.:

7.1 Cancellations. In general, if a Doctor cancels a reservation, the amount paid to you is determined by the cancellation policy that applies to that reservation. As a host, you should not cancel on a Doctor without a valid reason under our Policy or applicable law. If you cancel on a Doctor without such a valid reason, we may impose a cancellation fee and other consequences. If: (i) a Doctor experiences a issue (ii) a reservation is cancelled the amount you are paid will be reduced by the amount we refund or otherwise provide to the Guest doctor, and by any other reasonable costs we incur as a result of the cancellation. If a Guest doctor receives a refund after you have already been paid, or the amount of the refund and other costs incurred by Denquity exceeds your payout, Denquity  may recover that amount from you, including by offsetting the refund against your future payouts. You agree that Denquity Policy and these Terms preempt the cancellation policy you set in situations where they allow for the cancellation of a reservation and/or the issuance of refunds to Doctors. If we reasonably expect to provide a refund to a Doctor under one of these policies, we may delay release of any payout for that reservation until a refund decision is made.

7.2 Booking Modifications. Hosts and Doctors are responsible for any Booking Modifications they agree to make via the Denquity  Platform or direct customer service to make on their behalf, and agree to pay any additional amounts, fees or taxes associated with a Booking Modification.

8. Taxes.

8.1 Host Taxes. As a host, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any applicable VAT or other indirect taxes, occupancy taxes, tourist, income, or other taxes ("Taxes").

8.2 Collection and Remittance by Denquity. In jurisdictions where Denquity facilitates the collection and/or remittance of Taxes on behalf of Hosts, you instruct and authorize Denquity to collect Taxes on your behalf, and/or to remit such Taxes to the relevant Tax authority. Any Taxes that are collected and/or remitted by Denquity are identified to Members on their transaction records, as applicable. Denquity may seek additional amounts from Members (including by deducting such amounts from future payouts) in the event that the Taxes collected and/or remitted are insufficient to fully discharge that Members� tax obligations, and you agree that your sole remedy for Taxes collected by Denquity is a refund from the applicable Tax authority. You acknowledge and agree that we retain the right, with prior notice to affected Members, to cease the collection and remittance of Taxes in any jurisdiction for any reason.

8.3 Tax Information. In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that Denquity may issue on your behalf invoices or similar documentation for VAT, GST, consumption or other Taxes for your Host Services to facilitate accurate tax reporting by you, our Services users (Doctors), and/or their organizations.

General Terms of clinics

9. Reviews.

After each Host Service, Doctors and Hosts will have an opportunity to review each other. Your Review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Content Policy or Review Policy. Reviews are not verified by Denquity for accuracy and may be incorrect or misleading.

10. Content.

Parts of the Denquity Platform enable you to provide feedback, text, photos, audio, video, information, and other content (collectively, �Content�). By providing Content, in whatever form and through whatever means, you grant Denquity a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. Denquity may own that Content, in which case supplemental terms or disclosures will say that. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant Denquity the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Content Policy and Nondiscrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. You agree that Denquity may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Denquity does not guarantee the accuracy or quality of translations and Members are responsible for confirming the accuracy of such translations.

11. Fees.

Denquity may charge fees (and applicable Taxes) to Hosts and Doctors for use of the Denquity Platform.  Except as otherwise provided on the Denquity Platform, service fees are non-refundable. Denquity reserves the right to change the service fees at any time, and will provide Members notice of any fee changes before they become effective. Fee changes will not affect bookings made prior to the effective date of the fee change. If you disagree with a fee change you may terminate this agreement at any time pursuant to Section 13.2.

12. Denquity Platform Rules.

12.1 Rules. You must follow these rules and must not help or induce others to break or circumvent these rules.

Act with integrity and treat others with respect

Do not lie, misrepresent something or someone, or pretend to be someone else.

Be polite and respectful when you communicate or interact with others.

Follow our Nondiscrimination Policy and do not discriminate against or harass others.

Do not scrape, hack, reverse engineer, compromise or impair the Denquity Platform

Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Denquity Platform.

Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Denquity Platform or Content.

Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the Denquity Platform.

Do not take any action that could damage or adversely affect the performance or proper functioning of the Denquity Platform.

Only use the Denquity Platform as authorized by these Terms or another agreement with us

You may only use another Member�s personal information as necessary to facilitate a transaction using the Denquity Platform as authorized by these Terms.

Do not use the Denquity Platform, our messaging tools, or Members� personal information to send commercial messages without the recipient�s express consent.

You may use Content made available through the Denquity Platform solely as necessary to enable your use of the Denquity Platform as a Doctor or Host.

Do not use Content unless you have permission from the Content owner or the use is authorized by us in these Terms or another agreement you have with us.

Do not request, make, or accept a booking or any payment outside of the Denquity Platform to avoid paying fees, taxes or for any other reason.

Do not require or encourage Doctors to open an account, leave a review, complete a survey, or otherwise interact, with a third party website, application or service before, during or after a reservation, unless authorized by Denquity.

Do not engage in any practices that are intended to manipulate our search algorithm.

Do not book Host Services unless you are actually using the Host Services.

Do not use, copy, display, mirror or frame the Denquity Platform, any Content, any denquity branding, or any page layout or design without our consent.

Honor your legal obligations

Understand and follow the laws that apply to you, including privacy, data protection, and export laws.

If you provide us with someone else�s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy.

Read and follow our Terms, Policies and Standards.

Do not organize or facilitate unauthorized parties or events. You are responsible and liable for any party or event during your reservation that violates , as incorporated by reference herein.

Do not use the name, logo, branding, or trademarks of Denquity or others without permission.

Do not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that may be confused with Denquity branding.

Do not offer Host Services that violate the laws or agreements that apply to you.

Do not offer or solicit prostitution or participate in or facilitate human trafficking.

 

12.2 Reporting Violations. If you believe that a Member, Listing or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting Airbnb. In addition, if you believe that a Member, Listing or Content has violated our Standards, you should report your concerns to Airbnb. If you reported an issue to local authorities, Airbnb may request a copy of that report. Except as required by law, you agree that we are not obligated to take action in response to any report.

12.3 Copyright Notifications. If you believe that Content on the Denquity Platform infringes copyrights, please notify us at info@denquity.com

 

13. Termination, Suspension and other Measures.

13.1 Term. The agreement between you and Denquity reflected by these Terms is effective when you access the Denquity Platform (for example to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

13.2 Termination. You may terminate this agreement at any time by sending us an email or by deleting your account. Denquity may terminate this agreement and your account for any reason by giving you 30 days� notice via email or using any other contact information you have provided for your account. Denquity may also terminate this agreement immediately and without notice and stop providing access to the Denquity Platform if you breach these Terms, you violate our Policies, you violate applicable laws, or we reasonably believe termination is necessary to protect Denquity, its Members, or third parties. If your account has been inactive for more than two years, we may terminate your account without prior notice.

13.3 Member Violations. If (i) you breach these Terms, our Policies, or our Standards, (ii) you violate applicable laws, regulations, or third-party rights, or (iii) Denquity believes it is reasonably necessary to protect Denquity, its Members, or third parties; Denquity may, with or without prior notice:

suspend or limit your access to or use of the Denquity Platform and/or your account;

suspend or remove Listings, Reviews, or other Content;

cancel pending or confirmed bookings; or

suspend or revoke any special status associated with your account.

For minor violations or where otherwise appropriate as Denquity determines in its sole discretion, you will be given notice of any intended measure by Denquity and an opportunity to resolve the issue. You may appeal actions taken by us under this Section by contacting customer service. If a reservation is cancelled under this Section, the amount paid to the Host will be reduced by the amount we refund or otherwise provide to the Guest, and by any other costs we incur as a result of the cancellation.

13.4 Legal Mandates. Denquity may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above.

13.5 Effect of Termination.

If you are a Host and terminate your Denquity account, any confirmed booking(s) will be automatically cancelled and your Service users (Doctors) will receive a full refund. If you terminate your account as a Doctor, any confirmed booking(s) will be automatically cancelled and any refund will depend upon the terms of the reservation�s cancellation policy. When this agreement has been terminated, you are not entitled to a restoration of your account or any of your Content. If your access to or use of the Denquity Platform has been limited, or your Denquity account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Denquity Platform through an account of another Member.

13.6 Survival. Parts of these Terms that by their nature survive termination, will survive termination of this agreement.

14. Modification.

Denquity may modify these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the Denquity Platform and update the �Last Updated� date at the top of these Terms. We will also provide you with notice of any material changes by email at least 30 days before the date they become effective. If you disagree with the revised Terms, you may terminate this agreement immediately as provided in these Terms. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the Denquity Platform will constitute acceptance of the revised Terms.

16. Denquity�s Role.

We offer a platform that enables Members to publish, offer, search for, and book Host Services. While we work hard to ensure our Members have great experiences using denquity, we do not and cannot control the conduct of doctors and Host clinics. You acknowledge that denquity has the right, but does not have any obligation, to monitor the use of the Denquity Platform and verify information provided by our Members. For example, we may review, disable access to, remove, or edit Content to: (i) operate, secure and improve the denquity Platform (including for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Members� compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) address Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don�t meet quality and eligibility criteria. Members acknowledge and agree that Denquity including decisions about whether and how to apply them to a particular situation, at its sole discretion. Members agree to cooperate with and assist denquity in good faith, and to provide denquity with such information and take such actions as may be reasonably requested by denquity with respect to any investigation undertaken by denquity regarding the use or abuse of the denquity Platform. Denquity is not acting as an agent for any Member except for where denquity Payments acts as a collection agent as provided in the Payments Terms.

17. Member Accounts.

You must register an account to access and use many features of the denquity Platform. Registration is only permitted and natural persons who are 18 years or older. You represent and warrant that you are not a person or entity barred from using the denquity Platform under the laws of the India, your place of residence, or any other applicable jurisdiction. You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible and liable for activities conducted through your account and must immediately notify denquity if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

18. Disclaimer of Warranties.

We provide the Denquity Platform and all Content �as is� without warranty of any kind and we disclaim all warranties, whether express or implied. For example: (i) we do not endorse or warrant the existence, conduct, performance, safety, quality, legality or suitability of any Doctor, Host, Host Service, Listing or third party; (ii) we do not warrant the performance or non-interruption of the Denquity Platform; and (iii) we do not warrant that verification, identity or background checks conducted on Listings or Members (if any) will identify past misconduct or prevent future misconduct. Any references to a Member or Listing being "verified" (or similar language) indicate only that the Member or Listing or Denquity has completed a relevant verification or identification process and nothing else. The disclaimers in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties we cannot disclaim, the duration of any such statutorily required rights or warranties, will be limited to the maximum extent permitted by law.

19. Limitations on Liability.

Neither Denquity (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the Denquity Platform or any Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the Denquity Platform or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Denquity Platform, or (iv) publishing or booking of a Listing, including the provision or use of Host Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Denquity has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.

20.RIGHT TO USE LOGOS AND TRADEMARKS
Denquity is entitled to use the Practitioner, doctor, clinic, clinician's name and logo, including trademarks (collectively, �Marks�) on the Website and Denquity's marketing materials. Denquity will be permitted to issue press releases of any kind referencing the Practitioner and the Marks. However, the Practitioner, doctor, clinic, clinician shall seek a written permission from Denquity to participate in any press releases or for using trade names, trademarks, or service marks of Denquity in any of its advertisement, publicity, or promotion.

 

 

Denquity Labs Terms and Conditions

1.1 We at Denquity recommend that all patient data, details and findings be recorded on the Case history sheet and services available on the platform. Any data and details of the patients, users and doctors recorded anywhere else and outside the platform does not fall under the scrutiny, responsibility not liability with respect to Denquity private limited. Denquity is just a platform which aids in ease of management of your schedules, appointments, track your patients, have their case sheets digitally etc. We are not responsible for any misuse, leak, errors, wrong diagnosis, terminologies so on and so forth caused due to negligence or lack of understanding from the doctor's end, clinician's end nor the collaboration end between the same. Any data shared with the lab partners or labs that have been listed on the Denquity's platform - should not be shared or misused. We strongly urge for the labs and personnel involved to maintain this privacy. Any account or incident where there is a leak/misuse of patients or doctors data by the lab or personnel involved, Denquity shall not be responsible nor liable.

 

1.2 Denquity is not responsible for any delay in lab works, missed collection appointments, wrong schedules, misplaced lab work etc. We serve merely as a platform and an aid to assist with the dental lab work necessary for the completion of the patient treatment.

 

1.3 We at Denquity are not responsible for the privacy of the patient details, data and treatment regimens nor diagnosis. All the x-rays, in-op images, pre and post treatment images, addresses etc uploaded on the platform will be safe and bound by user privacy policy as long as it remains on and within the platform. Anything that is shared, delegated to other entities, people or platforms. Denquity is not responsible for the same. We strongly urge you not to do the same. In case, such a scenario does occur - the sole responsibility goes with the one who is sharing the information i.e. the doctor, clinician or any other member involved.

We cater to the needs of Doctors/Users/clinicians to help them get dental lab work done. These could be for the purpose of ordering regular tests, ordering lab works for prosthesis, appliances etc that is required to deliver the best of dental treatments to the patients. We bring together various dental labs, technicians and other personnel involved with the same and connect them to doctors and clinicians.

 

2.Labs - denquity offers a unique Platform to request lab, track lab order and get information about the lab.

 

2.1 The lab section available on the Denquity platform or the website is a third party collaboration and Denquity does not hold any responsibility for using the services of the same.

The doctor/clinic/clinician (You, Your etc.) may use the service upon his or her own research and knowledge.

 

2.2 All the orders generated while using the services are created online and the data generated will be the responsibility of  You alone. The order follow up, quality of work, acceptance/rejection of the same from the lab's end, tracking and progress of the work, delivery or any delays involved etc are all upto and upon the lab's own discretion and Denquity has no influence, liability nor responsibility of the same. Labs are solely responsible for the availability of respective services and their requests raised by You.

2.3 This service is only applicable and valid to dental labs and not any other diagnostic or lab.

Any data, images shared to facilitate the same is upon Your own discretion and Denquity is not responsible for the same. Any misuse of the patient data which may accompany such a situation lies under the responsibility of the doctor/clinician alone.

 

2.4 All payments should be done digitally and are valid only when it is done through the Denquity platform. We strongly discourage making any payment on off-line channels or other third party platforms unless they are authorized by Denquity.

 

2.5 Denquity is not liable nor responsible for any issues arising with the same nor with any misuse of the data that is being shared during the same. The sole responsibility lies with the clinics, doctors or clinicians involved in usage of this feature of the platform.

3.1 Inventory:

Inventory management and subscription is a feature of the clinic and lab section made available by Denquity Pvt. Ltd in accordance and as a collaborative feature with third party suppliers and vendors. The making of the list, management of its contents, need and subscription responsibilities lie entire with the lab, doctor or the clinician's end and Denquity is not responsible for any issues arising from the same. Denquity is not responsible for any delay, or missed delivery of the items, Quality of the delivered products, expiry and manufacturing dates, brands and damages of the items delivered in reference to the inventory list as the sole responsibility lies upon the suppliers or vendors based on the availability, pricing, demand and supply of the same in the market.

4.1 Creating and Managing Your Listing. The Denquity Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your Lab Service, your price, other charges and any rules or requirements that apply to your doctors, clinics or students You are responsible for keeping your Listing information (including calendar availability) and content (like photos) up-to-date and accurate at all times. We recommend that you obtain appropriate insurance for your Lab Services and carefully review policy terms and conditions including coverage details and exclusions. You may only maintain one Listing.

5.1 Know Your Legal Obligations. You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Lab Services. For example: some have laws that create additional obligations for Doctors. For example, some places have landlord-tenant, rent control, and eviction laws that may apply. Check your local rules to learn what rules apply to the Host Services you plan to offer. Information we provide regarding legal requirements is for informational purposes only and you should independently confirm your obligations. You are responsible for handling and using personal data of Doctors and others in compliance with applicable privacy laws and these Terms, including our lab Privacy Standards. If you have questions about how local laws apply you should always seek legal advice.

5.2 Search Ranking. The ranking of Listings in search results on the Denquity Platform depends on a variety of factors, including these main parameters:

Doctor search parameters (e.g. services available at the lab, type of materials or works catered to by the lab, quality of work etc)

Listing characteristics (e.g. price, calendar availability, number and quality of images, Reviews, type of Service, status, age of the Listing, average lab popularity),

Doctor booking experience (e.g. customer service and cancellation history of the lab, ease of booking),

Doctor preferences (e.g. previous trips, saved Listings, location from where the Guest is searching).

Search results may appear different on our mobile application than they appear on our website. Denquity  may allow Hosts to promote their Listings in search or elsewhere on the Denquity Platform by paying an additional fee. More information about the factors that determine how your Listing appears in search results, 

5.3 Your Responsibilities. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Lab Services. You are responsible for setting your price and establishing rules and requirements for your Listing. You must describe any and all fees and charges in your Listing description and may not collect any additional fees or charges outside the Denquity Platform except those expressly authorized by our Policy. Do not encourage Doctors to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Denquity Platform in violation of Platform Policy.

6.1 Your Assumption of Risk. You acknowledge that hosting carries inherent risks and agree that you assume the entire risk arising out of your access to and use of the Denquity Platform, offering Host Services, or any interaction you have with other Members whether in person or online. You agree that you have had the opportunity to investigate the Denquity Platform and any laws, rules, regulations, or obligations that may be applicable to your Listings or Host Services and that you are not relying upon any statement of law made by Denquity.

6.2 Collection and Remittance by Denquity. In jurisdictions where Denquity facilitates the collection and/or remittance of Taxes on behalf of labs, you instruct and authorize Denquity to collect Taxes on your behalf, and/or to remit such Taxes to the relevant Tax authority. Any Taxes that are collected and/or remitted by Denquity are identified to Members on their transaction records, as applicable. Denquity may seek additional amounts from Members (including by deducting such amounts from future payouts) in the event that the Taxes collected and/or remitted are insufficient to fully discharge that Members� tax obligations, and you agree that your sole remedy for Taxes collected by Denquity is a refund from the applicable Tax authority. You acknowledge and agree that we retain the right, with prior notice to affected Members, to cease the collection and remittance of Taxes in any jurisdiction for any reason.

6.3 Tax Information. In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that Denquity may issue on your behalf invoices or similar documentation for VAT, GST, consumption or other Taxes for your Lab Services to facilitate accurate tax reporting by you, our Services users (Doctors), and/or their organizations.

General Terms

7. Reviews.

After each labs Service, Doctors and labs or lab technicians will have an opportunity to review each other. Your Review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Policy. Reviews are not verified by Denquity for accuracy and may be incorrect or misleading.

8. Fees.

Denquity may charge fees (and applicable Taxes) to labs, clinicians and Doctors for use of the Denquity Platform.  Except as otherwise provided on the Denquity Platform, service fees are non-refundable. Denquity reserves the right to change the service fees at any time, and will provide Members notice of any fee changes before they become effective. Fee changes will not affect bookings made prior to the effective date of the fee change. If you disagree with a fee change you may terminate this agreement at any time

9. Member Accounts.

You must register an account to access and use many features of the denquity Platform. Registration is only permitted and natural persons who are 18 years or older. You represent and warrant that you are not a person or entity barred from using the denquity Platform under the laws of India, your place of residence, or any other applicable jurisdiction. You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible and liable for activities conducted through your account and must immediately notify denquity if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents. Information that is collected from you shall include but does not limit to: Your Clinic name, Your name, Your patient name, Your address, Your details, Your phone number and email.

10.Other Terms:

You agree to provide the details sought above, for the purposes mentioned herein. You understand and agree that your personal information, order forms, phone numbers, Email, details shall reside with us and shall be used. You understand that, Denquity undertakes risk assessment, but this is provided to the best of our knowledge. They are based on reports provided by labs and scientific studies available in public domains. This is not meant to be professional advice and you should always consult a dentist before making any decisions. You understand that, we may sometimes reach out to you or record all your calls with us and/or place them through us to dental labs and/or logistics partners, for investigative purposes. A lab order request and form will be generated online by the doctors, clinicians and/or students through the Denquity portal as required. The Lab request or lab order form will be sent to you directly. There should be no promotional messages, texts or calls or any other form of communication that should be done by the lab's to doctors, clinicians or patients unnecessarily or directly unless authorized by Denquity.

 

Denquity Supply Terms and Conditions

With any purchase made from the Denquity.com website/app, the customer unconditionally agrees to the terms and conditions mentioned below even if you have read them or not. Please read this agreement carefully before proceeding, as the customer is bound to these conditions for accessing, browsing or the purchase of an item on the platform. If you (customer) do not agree and accept any of the terms, conditions and policies unconditionally, then we are not liable for any issues, refunds, returns or problems you happen to encounter with the services provided under the Supply Section of the platform.

9. Customer is solely responsible for the account information like username and password and you hereby undertake the responsibility of any action taking place in your account.

10. You acknowledge and agree that any information provided by you is only yours and does not infringe the confidentiality of a third party/person in any way.

11. If you are making a purchase on someone else�s behalf, you agree and bound the account holder to all the terms and conditions of the Denquity.com website/app.

12. In case of any knowledge or belief that your information has been breached in any way, you must contact Denquity.com website/app at info@denquity.com

13. If any issue is suspected as per the confidentiality of your account, you might be asked to change your password or re-register with no liability of Denquity.com website/app.

14. The pictures of all products at Denquity.com website/app are merely indicated for information and may vary from the actual product. Denquity isn't responsible for the images uploaded for the products as all the data related to products will be added by the supplier at his/her own discretion. Product packaging also might vary or change from time to time

15. Denquity.com website/app strives to provide accurate product and pricing information; however, errors may occur and Denquity is not liable or responsible for the same.

16. Denquity.com website/app reserves all rights to change/alter prices of any product and suspend/cancel orders at any point of time unless it has been received by the customer.

17. No changes can be made to the order once the order has been dispatched from our warehouse. However, if you still require to contact us then drop us an email at info@denquity.com. 18. In case of any delays in delivery you may track the status of your order by visiting �My Orders�. Our aim is to meet the delivery times but during busy periods like promotional sale, festive occasions, tech updates, extreme weather conditions may delay the delivery and it may take a little longer time than mentioned. In case of cancellation of the paid order, the paid amount will be reversed to the account information provided at the time of purchase and Denquity.com website/app will not be responsible for any accurate time duration taken in the transfer. If any product is found unavailable after receiving the order, the customer will be notified of the order cancellation via email and payment will be refunded to the same account of the account holder from which payment was made. Denquity.com website/app shall not be liable to any damages or delay in the delivery of the product resulting from the delay of the subsequent treatment procedure, in such event/events owing to cancellation of the order or delay in delivery.

21. Payments can be made via debit card, credit card, net banking, UPI wallet, Paytm, cash on delivery as per availability of services by third party companies. 

22. If you use the Denquity.com website/app, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer to prevent unauthorized access to your account. You agree to accept responsibility for all activities that occur under your account or password.

23.  We will do our utmost to ensure that availability of the website will be uninterrupted and that transmissions will be error-free. However, this cannot be guaranteed due to nature of the Internet. Also, your access to the website may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new features or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction.

24. Any content of this website must not be copied, reproduced, sold/resold or duplicated for any commercial activity without prior written consent of Denquity Pvt. ltd.

25. You must not use this website for any fraudulent/unlawful activity whatsoever.

26. Any dispute will be subjected to Bangalore jurisdiction only.

 

Cancellation Policy

1. In order to cancel the order before the shipment of the product/products, customer has to go to �My Orders� and cancel the order or else contact info@denquity.com

2. In order to cancel the order after the shipment of the product/products, customer has to contact info@denquity.com

3. Refund is processed within 24-48 business hours when order stands cancelled before/after shipment. We process the refund once the products have been received and verified at our warehouse.

4. Refund in case of cancellation after dispatch might take longer.

Return/Replacement Policy

1) In case of returns, Denquity.com website/app arranges pick-up of the goods but shipping charges will be applicable. Customers have to bear the shipping charges or else can arrange the return by their own means.

- The product must be returned in its original packaging with all contents intact as shipped.

- A part of the order can also be returned if multiple items were ordered. However, all the components of the product must be intact and the product should be unused/not altered.

- In case of a return/replacement/refund, we process the refund once the products have been received and verified at our warehouse or the supplier end.

- In case of cancellation before shipment, we process the refund within 24-48 business hours after receiving the cancellation request.

- In case of cancellation once the shipment has already been dispatched or if it is being returned, we process the refund once the products have been received and verified at our warehouse.

- For payments done through credit/debit cards or net banking, the refund will be processed to the same account from which the payment was made within 24-48 business hours of us receiving the products back. It may take 2-3 additional business days for the amount to reflect in your account.

- For cash on delivery transactions, we will initiate a bank transfer against the refund amount against the billing details shared by you. This process will be completed within 24-48 business hours of us receiving the products back and your bank details on email. It will take an additional 2-3 business days for the amount to reflect in your account.

- Equipment which cannot be returned include Dental chairs, Dental compressors, UV chambers, autoclaves, X-ray units, RVG sensor machine, Model trimmers, OPG and CBCT machines, apex locators, endomotors, Ultrasonic scalers, Micromotors, Physio dispenser, Bleaching light and other light curing units, amalgamator etc.

- Products which are not applicable for returns include tooth cr�me/mousse, MRC/orthodontic trainers, water flossers, chin caps, headgears, face masks or other myofunctional appliances.

 

Items which are not applicable for returns:

- Product is damaged due to misuse/overuse

- Returned without original packaging including, price tags, labels, original packing

and/or any attachments or if original packaging is damaged

- If the Serial Number is tampered.

- Defective products that are not covered under Company�s/Manufacturer�s warranty

- Product is used or altered

- If the request is initiated after 10 business days of order delivery

- No returns of free product/products

Refund Policy

- For payments done through credit/debit cards or net banking, the refund will be processed to the same account from which the payment was made within 24-48 business hours of us receiving the products back. It may take 2-3 additional business days for the amount to reflect in your account.

- For cash on delivery transactions, we will initiate a bank transfer against the refund amount against the billing details shared by you. - By signing up to our platform i.e. Denquity.com you inherently agree to the terms, conditions and policies of the platform.

-Termination of your Seller/Supplier account can be done at anytime and at the sole discretion of Denquity Pvt Ltd

-  You acknowledge and undertake that you are wholly responsible for your decision to sell or advertise any product/products after your own analysis, judgement and thereafter transaction done by you on this website. Denquity.com website/app takes no responsibility of the usage, implementation and result/outcome of the products. It is entirely the Supplier responsibility to choose and decide the right product.
